FOXO Technologies Inc. entered two Exchange Agreements dated May 12, 2026 with two institutional holders of its Series A Cumulative Convertible Redeemable Preferred Stock. The company exchanged the holders' preferred shares for senior unsecured non-convertible promissory notes in matching principal amounts: $2,467,988.34 for Investor 1 and $5,307,096.94 for Investor 2.

Each note matures on the earlier of May 12, 2027 or an event of default. The notes are non-interest bearing and unsecured.
