Kyle Carver, chief financial officer of Evommune, Inc. (NYSE: EVMN), bought 1,000 common shares on July 8, 2026 at $13.26 each, according to a Form 4 signed on his behalf by Gregory S. Moss as attorney-in-fact on July 10, 2026. The purchase carries transaction code P, and Carver held 60,335 shares directly afterward. This is a Section 16(b) matter, not a lawsuit. The filing names Carver as the person who owes the money and Evommune, the issuer, as the party to be paid. It names no court, no case number and no outside plaintiff.

The footnote on the form says the purchase "was matchable under Section 16(b) of the Securities Exchange Act of 1934" with a sale of 1,000 shares at $23.42 per share on May 28, 2026. Carver agreed to pay the issuer $10,160 upon settlement of the purchase. The form describes that sum as the full amount of the profit realized in connection with the short-swing transaction.

The May trades

A separate Form 4 for May 28, 2026 shows that Carver exercised an employee stock option for 15,000 shares at $2.99 and then sold 18,175 shares at a weighted average price of $22.84. The sales were made in multiple transactions at prices from $22.50 to $23.42. He held 77,510 shares after the exercise and 59,335 after the sale.

The option has an expiration date of December 8, 2034. The form says one fourth of the shares vest on the first anniversary of the grant date and the rest in 36 equal monthly installments, subject to continuous service. After the exercise, 96,731 options remained.

The May Form 4 has the box checked for a Rule 10b5-1 trading plan. The footnote says the transactions followed a plan Carver adopted on February 26, 2026. The July Form 4 does not have that box checked.

Why the amount is small

The sums here are small beside the company's scale. The 10-K for 2025 reported revenue of $13.0 million, research and development expense of $74.0 million, a net loss of $68.9 million and cash used in operations of $76.4 million. The $10,160 payment is a compliance cost, and the filing does not suggest any other wrongdoing. It also does not say why Carver bought the shares, and the forms give no reason for either trade.

The same annual report lists, among its most significant risks, that Evommune will need substantial additional funding to maintain operations and advance its product candidates. It says failure to obtain that capital when needed, or on acceptable terms, may force the company to delay, reduce or eliminate certain research operations or development. It names EVO756 and EVO301 as its most-advanced product candidates.

What came after

On September 8, 2026, Evommune announced top-line results from its randomized, double-blind, placebo-controlled Phase 2b trial of EVO756 in 121 adults with moderate-to-severe atopic dermatitis. The trial did not meet its primary endpoint, the percent change in Eczema Area and Severity Index score from baseline at Week 12, and did not meet its secondary endpoints at any dose studied. The company said it does not plan to advance EVO756 in atopic dermatitis. It said EVO756 was generally well tolerated and will continue in Phase 2b development for migraine prophylaxis.

Evommune said EVO301, its IL-18BP fusion protein, will enter a Phase 2b trial in atopic dermatitis planned for mid-2027. It said its balance sheet supports operations into 2029.

The July Form 4 came before that trial result, and nothing in it ties the purchase to the trial. The filing says only that Carver agreed to pay the issuer upon settlement of the purchase.
