Eton Pharmaceuticals, Inc. entered into a license agreement with Aquestive Therapeutics, Inc. on October 13, 2026, and reported it in an 8-K dated October 14, 2026. Eton acquired exclusive U.S. rights to commercialize LIBERVANT (diazepam) buccal film for the acute treatment of seizure clusters in patients with epilepsy, subject to applicable regulatory approvals.
The license terms
Eton paid Aquestive an upfront license fee of $10.0 million. It is also responsible for milestone payments of up to an aggregate of $47.5 million. Of that, $10.0 million is due on the first U.S. commercial sale. That payment falls to $5.0 million if full FDA approval for patients ages 2 to 5 has not been received. A further $2.5 million is due on FDA approval for patients ages 6 to 11. Up to $35 million more is tied to annual U.S. net sales levels. Eton will also pay royalties on annual net sales at a mid-teens percentage rate.
Under a separate supply agreement, Aquestive will be the exclusive manufacturer and supplier of the product, subject to specified exceptions. The initial term is 20 years. The agreement then renews automatically for succeeding three-year periods unless either party gives notice at least two years before a term ends.
The product's approval status
The product has tentative approval from the FDA for the acute treatment of seizure clusters in patients with epilepsy aged 2 to 5 and aged 12 and older. Tentative approval is not full approval. The milestone terms follow that status: the first-sale payment drops to $5.0 million if full approval for the younger group does not come, and the $2.5 million payment depends on approval for ages 6 to 11.
The 8-K describes the product as subject to applicable regulatory approvals, and it does not give a timetable for commercial launch.
Eton's business and finances
Eton describes itself as an innovative pharmaceutical company focused on rare diseases. Its annual report, filed March 19, 2026, lists eight commercial products, including INCRELEX, ALKINDI SPRINKLE, KHINDIVI, GALZIN, PKU GOLIKE, Carglumic Acid, Betaine Anhydrous and Nitisinone. The report also lists five late-stage candidates, among them ET-600, Amglidia, ET-700, ET-800 and the ZENEO hydrocortisone autoinjector.
The annual report says ET-600's new drug application was accepted in July 2025 with a PDUFA goal date of February 25, 2026. It says Eton scheduled launch inventory for the first quarter of 2026 ahead of an anticipated approval. The annual report does not say whether the FDA acted on that date.
The annual report shows revenue of $80.0 million for 2025, up from $39.0 million for 2024. It reports a net loss of $4.6 million for 2025 against $3.8 million for 2024, and research and development expense of $7.8 million for 2025 against $3.3 million for 2024. Cash provided by operations was $10.5 million in 2025 and $969,000 in 2024.
Cash and cash equivalents were $14.9 million at the end of 2024. The company's quarterly report for the period ended June 30, 2026 puts cash and cash equivalents at $26.8 million.
What the 8-K leaves out
The 8-K does not describe how Eton will fund the $10.0 million upfront fee, whether from cash on hand or other sources. It does not state an expected timing for the first milestone or for any launch. The filing names Judith M. Matthews, the chief financial officer, as the signatory, and it lists the company's Deer Park, Illinois office as its principal executive office. The company's common stock trades on the NASDAQ Global Market under the symbol ETON.
