Eton Pharmaceuticals, Inc. (Nasdaq: ETON) said it entered into a license agreement on July 31, 2026 with Auson Pharmaceuticals Inc. for ASN-001 (timolol topical gel), a late-stage rare disease product candidate for proliferating superficial infantile hemangiomas. Eton will pay Auson an upfront license fee of $3.0 million within thirty days of the agreement. The company described the deal in a Form 8-K filed August 5, 2026.
The terms
The $3.0 million upfront fee is due within thirty days. The other payments depend on approval by the U.S. Food and Drug Administration (FDA). If the FDA approves ASN-001, Eton would owe $5,000,000 on the first commercial sale of the product.
After approval, Eton would also owe sales milestones, each paid the first calendar year that aggregate annual net sales of the product meet or exceed a set level:
- $1,000,000 at $20,000,000 in annual net sales
- $2,500,000 at $40,000,000
- $5,000,000 at $80,000,000
- $10,000,000 at $150,000,000
- $10,000,000 at $280,000,000
Eton would also pay Auson tiered royalties. The rate is 10% on net product sales of less than or equal to $200,000,000, 13% on sales above $200,000,000 up to $400,000,000, and 15% on sales above $400,000,000. The filing says the tiers are based on cumulative lifetime product sales.
Eton will run a bioavailability bridging study for ASN-001. If the study succeeds, the company intends to submit a New Drug Application (NDA) after the study, in the second half of 2027. The 8-K reports the deal under Item 1.01 (a material agreement) and Item 2.01 (completion of an acquisition or disposition of assets).
What the company says about the product
In a press release filed as Exhibit 99.1, Eton says it licensed the U.S. rights to ASN-001. It says Auson previously completed a three-arm Phase II/III trial of 168 patients. According to the release, 56% of patients applying ASN-001 twice daily and 42% of patients applying it three times a day showed elimination or near-elimination of their infantile hemangiomas at week 24, compared with 15% in the placebo group.
The company anticipates an NDA submission in the second half of 2027 for potential approval and launch in 2028. It says ASN-001 has patent protection through 2044 and an additional patent application pending.
Infantile hemangiomas are described in the release as non-cancerous vascular tumors that typically appear in the first days or weeks of a newborn's life. Eton says physicians often prescribe ophthalmic timolol products off-label for moderate cases because no FDA-approved topical option exists. It estimates the total market opportunity for an FDA-approved product at 20,000 to 30,000 patients.
Chief Executive Officer Sean Brynjelsen said in the release: "ASN-001 is designed specifically for this population, making it highly complementary to HEMANGEOL and positioning Eton to potentially address the full spectrum of infantile hemangioma treatment."
About the company
Eton describes itself as an innovative pharmaceutical company focused on developing and commercializing treatments for rare diseases. The release lists eleven commercial rare disease products, including HEMANGEOL (propranolol hydrochloride) oral solution, and four additional late-stage product candidates.
