Erasca, Inc. (Nasdaq: ERAS) disclosed two shareholder lawsuits in its 10-Q filed August 11, 2026. A purported securities class action complaint was filed on June 10, 2026 in the United States District Court for the Southern District of California against the company and certain of its officers. The 10-Q does not name the plaintiff, the officers, the case number or the class period.
A putative stockholder derivative complaint followed in August 2026 in the same court, captioned ES Trust v. Lim, et al., Case No. 3:26-cv-04517-WQH-JAC. It names Erasca as a nominal defendant and, as defendants, its current directors and its Chief Financial Officer and Chief Business Officer. The suit concerns Erasca's oversight of, and public disclosures about, ERAS-0015, the pan-RAS molecular glue it is developing for RAS-mutated solid tumors.
The case
The class action complaint alleges violations of the federal securities laws and seeks damages, costs and other unspecified relief, the 10-Q says. The filing does not describe the statements at issue. No lead plaintiff has been appointed and no class has been certified.
The derivative complaint alleges breaches of fiduciary duty and violations of Section 14(a) of the Exchange Act. It also seeks unspecified damages, costs and other unspecified relief. Because Erasca is a nominal defendant, the claims are brought on the company's behalf.
Defendants
In the class action, the defendants are Erasca and certain of its officers. The 10-Q does not list them. Its signature page shows Jonathan E. Lim, M.D., as Chairman, Chief Executive Officer and Co-Founder, and David M. Chacko, M.D., as Chief Financial Officer and Chief Business Officer. Neither the 10-Q nor the proxy says either executive is a class action defendant.
In the derivative suit, the defendants are Erasca (nominal), its current directors, and its Chief Financial Officer and Chief Business Officer, who is Dr. Chacko according to the signature page. The 10-Q does not list the directors by name. Erasca's proxy statement filed April 28, 2026 said the board had eight members: Dr. Lim, Alexander W. Casdin, Julie Hambleton, M.D., Michael D. Varney, Ph.D., Jean I. Liu, J.D., Pratik S. Multani, M.D., James A. Bristol, Ph.D., and Valerie Harding-Start, Ph.D. At the June 26, 2026 annual meeting, stockholders elected Mr. Casdin, Dr. Hambleton and Dr. Varney to new terms. The derivative suit was filed after that meeting. The 10-Q says the suit names the current directors but does not give their names, so this list is the board according to the proxy, not a list taken from the complaint.
Where it stands
Erasca calls the derivative matter early stage and says it cannot predict the outcome or estimate a possible loss or range of loss. It says it and the individual defendants "dispute the allegations in the derivative action" and intend to defend it vigorously. For the class action, Erasca says it believes the claims are without merit and intends to defend vigorously.
The company had recorded no amounts for loss contingencies as of June 30, 2026. The 10-Q does not say whether insurance covers either case. Erasca's later 8-Ks, filed August 24 and October 16, 2026, do not mention the lawsuits.
Why it matters to shareholders
The 10-Q lists the cases as a risk factor. It says securities litigation can be expensive and time consuming and can divert management's attention. It adds that unfavorable outcomes could bring "substantial monetary damages, judgments, settlements, fines, penalties, or other remedies." It also warns that more lawsuits, derivative actions or regulatory inquiries on the same subject could follow.
Related matters
On April 24, 2026, Erasca received a letter from counsel for Revolution Medicines, Inc. The letter alleged that ERAS-0015 infringes U.S. Patent No. 12,409,225 under the doctrine of equivalents, that a third party misappropriated its alleged trade secrets in connection with a patent relating to ERAS-0015, and that Erasca improperly compared preclinical data for ERAS-0015 and RMC-6236 in public statements. Revolution Medicines demanded that Erasca stop certain activities involving ERAS-0015 in the United States. Erasca says it believes the claims are without merit. The 10-Q says Revolution Medicines may seek to start litigation, and it reports no lawsuit.
