Envoy Medical, Inc. (Nasdaq: COCH) said in an 8-K filed October 7, 2026 that on October 6 it entered into a Dismissal Agreement with Atlas Merchant Capital SPAC Fund I LP ("Atlas") over litigation in the Delaware Court of Chancery. Under the agreement all of Atlas's claims will be dismissed with prejudice, and there will be no further proceedings. The 8-K adds that neither the company nor any other defendant will be required to make a payment to Atlas. Brent Lucas, chief executive officer, signed the filing. It gives no case number.

According to the company's 10-Q for the quarter ended June 30, 2026, Atlas's complaint of November 14, 2023 named four defendants: Envoy Medical; Whitney Haring-Smith, its former chief executive officer and a former director; Daniel Hirsch, its former chief financial officer; and Anzu SPAC GP I LLC. The 8-K does not say whether the two former executives or Anzu SPAC GP I LLC are parties to the Dismissal Agreement.

What Atlas claimed

Atlas alleged that it was not allowed to redeem its shares of Anzu Special Acquisition Corp I class A common stock, and that the defendants acted to prevent its attempt to redeem. The 8-K ties the dispute to the company's September 2023 business combination. The defendants countered that Atlas did not comply with the redemption requirements in the company's organizational documents. These are allegations.

Atlas sought approximately $9.4 million, plus pre- and post-judgment interest, costs and reasonable attorneys' fees. On March 3, 2025 the court partially granted a motion to dismiss, which dismissed and reduced some counts and allegations in the amended complaint and narrowed the theories and facts at issue. The company called the lawsuit meritless and said it was defending vigorously. It also disclosed standard indemnification obligations to Haring-Smith and Hirsch and business liability insurance for litigation costs exceeding $5,000 thousand. As of June 30, 2026 it had recorded no accruals for potential litigation losses.

The company the suit leaves behind

A dismissal with no payment removes one claim, not the company's money problem. Envoy's 10-Q says its history of negative operating cash flows and losses raises substantial doubt about its ability to continue as a going concern, and that management's plans do not alleviate that doubt. The accumulated deficit was $326,369 thousand at June 30, 2026. Cash of $19,679 thousand at that date will not be sufficient to fund operations for at least one year from the date the statements were issued.

For the six months ended June 30, 2026 the company had a net loss of $10,333 thousand, and operations used $11,517 thousand in cash. Financing has been dilutive. In February 2026 it completed an offering that brought net proceeds of $27,782 thousand for an aggregate of 47,946,150 shares of Class A common stock and 27,053,850 pre-funded warrants. Shares outstanding rose to 77,194,595 at June 30, 2026 from 28,934,960 at December 31, 2025. Management's plans include potential proceeds from the exercise of outstanding warrants or other financing sources.

The products

Envoy has developed two fully implanted hearing devices built on its middle-ear sensor technology. The Esteem Fully Implanted Active Middle Ear Implant received FDA approval in 2010, and the company says it remains the only fully implanted hearing device to do so. The company has shifted its focus to the investigational Acclaim Cochlear Implant, which it believes to be the first fully implantable cochlear implant. The FDA granted the Acclaim Breakthrough Device Designation in 2019. The Acclaim is still in a clinical trial and is not approved.
