The Nasdaq letter
Entero Therapeutics, Inc. received a letter from the Listing Qualifications department of The Nasdaq Stock Market LLC on July 3, 2025. The letter said that because the company held its annual meeting on June 30, 2025, Nasdaq had determined the company regained compliance with Nasdaq Listing Rule 5620(a), the annual meeting rule, and that the matter is now closed.
The company reported the letter in an 8-K dated July 8, 2025, signed by Richard Joel Paolone as interim chief executive officer. That 8-K refers back to an earlier 8-K filed July 2, 2025 that disclosed the June 30 meeting. At the time, the common stock traded on the Nasdaq Capital Market under the symbol ENTO.
The rule requires a Nasdaq-listed company to hold an annual meeting of shareholders. The 8-K does not say when the company first fell out of compliance or what led to the timing of the meeting. It also does not list the matters voted on at the June 30 meeting. The 8-K contains no financial information.
The company behind the listing
The annual report filed April 1, 2025 describes a company engaged in research and development of targeted, non-systemic therapies for gastrointestinal diseases. It changed its name from First Wave Biopharma, Inc. to Entero Therapeutics, Inc. in May 2024. Its focus is adrulipase, a recombinant lipase enzyme for exocrine pancreatic insufficiency in cystic fibrosis and chronic pancreatitis.
The company says the Phase 2b monotherapy bridging study of adrulipase, announced in July 2023, did not achieve its primary efficacy endpoint, although the enhanced formulation was safe and well tolerated. It plans to move the program forward in 2025. Latiglutenase, capeserod and niclosamide are being discontinued.
The annual report also describes the ImmunogenX merger, which the company announced as closed in March 2024. The company issued the former ImmunogenX shareholders 36,830 shares of common stock and 11,777.418 shares of Series G Preferred Stock, and it assumed options for 200,652 shares and warrants for 127,682 shares. In March 2025 the company announced a rescission agreement that would unwind the merger. The company expects closing on or before June 30, 2025, subject to conditions including shareholder approval for the transfer of the ImmunogenX membership interests.
The annual report also says the company gave notice on February 26, 2025 to end its Sanofi license for capeserod, with termination expected in April 2025 and no payments due. It describes a reverse merger with Journey Therapeutics and a license with Data Vault Holdings, neither of which it expects to move forward.
Critical read
The letter closes a procedural matter. It does not address the operating picture in the annual report, which shows a company that has discontinued most of its programs, unwound its one large acquisition, and is relying on an adrulipase program whose primary endpoint was missed. The company's shareholders were asked to approve the transfer of the ImmunogenX interests, and the 8-K gives no result from that approval.
The annual report said the rescission needed shareholder approval and was expected to close on or before June 30, 2025, the same date as the annual meeting. The compliance notice says nothing about whether the rescission closed on time or what shareholders voted on. The annual report shows a company still in the middle of a restructuring.
