The amendment and the vote

Eledon Pharmaceuticals, Inc. (Nasdaq: ELDN) reported the results of its Annual Meeting of Stockholders, held on June 18, 2026, in a Form 8-K filed June 22, 2026. Stockholders approved an amendment to the Restated Certificate of Incorporation that raises the authorized common stock from 300,000,000 shares to 450,000,000. The vote was 52,305,057 for, 3,739,735 against and 294,086 abstaining, with no broker non-votes. The company filed the Certificate of Amendment with the Delaware Secretary of State, and it is effective June 22, 2026. The 8-K does not say why the company wants the additional authorized shares or how it plans to use them. The company had described all three proposals in a definitive proxy statement on Schedule 14A filed April 30, 2026.

Directors, auditor and the withheld votes

Stockholders elected David-Alexandre C. Gros, M.D., Jan Hillson, M.D. and James Robinson as Class III directors for terms ending at the 2029 annual meeting. Gros received 36,633,821 votes for and 426,888 withheld. Hillson received 33,081,275 for and 3,979,434 withheld. Robinson received 30,916,807 for and 6,143,902 withheld, the largest withheld count of the three. Broker non-votes on the director election were 19,278,169 for each nominee. Stockholders also ratified Deloitte & Touche LLP as the independent registered public accounting firm for the year ending December 31, 2026. That vote was 56,010,539 for, 252,240 against and 76,099 abstaining. Gros, the chief executive officer, signed the 8-K. The filing lists the company's Nasdaq Global Market listing under ELDN and its address in Irvine, California.

What the annual report says about money

The annual report for 2025, filed March 19, 2026, shows a net loss of $45.6 million for 2025, against $36.2 million for 2024. Research and development expense rose to $66.3 million from $52.0 million. Cash used in operations was $62.3 million for 2025, up from $47.3 million for 2024. Year-end 2024 cash and cash equivalents were $20.5 million, and short-term investments were $119.6 million. The report's risk summary is blunter than the vote. It says the company's short operating history and shifts in strategy may make its viability hard to judge, and that it has incurred significant operating losses and expects more for several years. It says the company will require additional funding to complete development of its lead drug candidate. If it cannot raise that capital on acceptable terms, the summary says, it will have to significantly alter its strategy, curtail operations, or liquidate and cease operations altogether. The same summary warns that future issuances of common stock, including shares issuable under outstanding warrants or other convertible securities, could dilute stockholders and could cause the stock price to fall. It also says its product candidates are in the early stages of clinical development and may not be successfully developed.

What the added shares mean

The vote gives the company room to issue more shares. Those shares could come from warrants, convertibles, or new sales, and the 8-K does not say which. The annual report already names dilution as a risk and names the need for more funding to finish its lead candidate. An amendment that enlarges the pool of shares does not by itself add cash, and the 8-K does not say whether the company plans to use it to raise money.
