Cytokinetics, Incorporated issued $750.0 million of 1.75% convertible senior notes due 2031 on September 19, 2025. The total includes the full exercise of the initial purchasers' option to buy up to an additional $100.0 million. The company reported the issue in a Form 8-K filed September 22, 2025 under Item 1.01.

Terms of the notes

The notes are senior, unsecured obligations that rank equal in right of payment with the company's other unsubordinated debt, including its 4.00% convertible senior notes due 2026 and its 3.50% convertible senior notes due 2027. They are effectively subordinated to secured debt to the extent of the collateral, and structurally subordinated to liabilities of the company's subsidiaries. U.S. Bank Trust Company, National Association is trustee under an indenture dated September 19, 2025.

Interest is 1.75% a year, paid semiannually on April 1 and October 1, beginning April 1, 2026. The notes mature on October 1, 2031. The initial conversion rate is 14.6156 shares per $1,000 principal amount, an initial conversion price of about $68.42 a share. Cytokinetics may settle conversions in cash, shares or a combination, at its election. At the maximum conversion rate of 20.0964 shares per $1,000 principal amount, up to 15,072,300 shares could be issued on conversion.

Holders may convert only in set circumstances. One is a stock price test. After the quarter ending December 31, 2025, the stock must exceed 130% of the conversion price on at least 20 trading days in the 30 consecutive trading days ending the prior quarter. Another is a trading price test, which applies when the notes trade below 98% of the value implied by the stock price. Holders may convert at any time from July 1, 2031 until shortly before maturity.

The company may not redeem the notes before October 6, 2028. After that, it may redeem them for cash at principal plus accrued interest, but only if the stock exceeds 130% of the conversion price for a specified period and other conditions are met. A partial redemption is allowed only if at least $75.0 million of notes remain outstanding and not subject to redemption. If a fundamental change occurs, which includes certain business combinations and de-listing events, holders may require repurchase at principal plus accrued interest.

The indenture lists defaults including certain defaults on borrowed money of at least $50,000,000.

Proceeds, exchanges and the launch

The 8-K estimates net proceeds of about $729.4 million after the initial purchasers' discount and offering expenses. Cytokinetics expects to use about $402.5 million to pay the cash portion of note exchange transactions with holders of its 3.50% notes due 2027. In those privately negotiated exchanges, entered into as the offering priced, it expects to issue 2,168,806 shares of common stock for approximately $399.5 million principal amount of the 2027 notes. The remainder supports the potential commercial launch of aficamten, its development program, its wider pipeline and general corporate purposes.

The September 16, 2025 release had announced a $550.0 million offering with an option for up to $82.5 million more, and the final issue was larger than both. The release also warns that holders who hedged their equity exposure may unwind those positions by buying stock, which could lift the share price around pricing and result in a higher effective conversion price for the notes. The release adds that no assurance can be given on how many 2027 notes will be exchanged.

The release calls Cytokinetics a specialty cardiovascular biopharmaceutical company. It says the company is readying for potential regulatory approvals and commercialization of aficamten, after positive results from SEQUOIA-HCM, a pivotal Phase 3 trial in obstructive hypertrophic cardiomyopathy. Approval is not yet in hand, and the release's description of those results is the company's own.

Who is named and what is missing

The 8-K names no bank, underwriter or placement agent. It refers only to the initial purchasers. The notes and any conversion shares are not registered under the Securities Act, and the release says they were offered to qualified institutional buyers under Rule 144A. The 8-K and the release do not give a cash balance or a net loss, so the offering cannot be measured against the company's cash burn from these filings.
