Cumberland Pharmaceuticals Inc. (Nasdaq: CPIX) amended its revolving credit agreement with Pinnacle Bank and moved the maturity date of the line to October 1, 2027. The change is reported in a Form 8-K filed November 24, 2025. The filing is signed by Chief Financial Officer John Hamm and dated November 21, 2025. It changes borrowing terms and raises no equity, and it does not say how much of the line is drawn.
What the amendment changes
Cumberland and Pinnacle Bank fully executed the First Amendment to Amended and Restated Revolving Credit Note and Second Amendment to Amended and Restated Revolving Credit Loan Agreement on November 18, 2025. The exhibit is dated as of November 12, 2025. The original Pinnacle agreement was dated September 5, 2023.
Under the amendment, the principal available for borrowing is up to $15 million, and Cumberland may request an increase of up to an additional $10 million. The aggregate principal funding amount remains unchanged at up to $25 million. The 8-K extends the maturity to October 1, 2027, but it does not name the maturity date the amendment replaced, so the length of the extension cannot be measured from the filing.
The 8-K names no other lender, placement agent, financial advisor or outside counsel. Pinnacle Bank is the only bank named.
Cost and conditions
Interest on borrowed funds is based on Benchmark Term SOFR plus 2.75%. Borrowings under the line are collateralized by substantially all of the company's assets, which means Pinnacle would have a claim on most of what Cumberland owns if the debt were not repaid. The company must also maintain a Minimum Fixed Charge Coverage Ratio, determined on a quarterly basis, and meet Borrowing Base Requirements as defined in the agreement. The 8-K does not state the ratio level or the borrowing base formula.
Cumberland reported the amendment under Item 1.01 and Item 2.03 of Form 8-K. The signed amendment is filed as Exhibit 10.1.
A small company with a thin margin
The annual report on Form 10-K, filed March 7, 2025, shows net revenues of $37,867,945 for 2024, down from $39,552,507 in 2023. The operating loss narrowed to $6,432,409 from $9,554,661. The net loss rose slightly, to $6,443,715 for 2024 from $6,330,766 for 2023.
The 10-K reports 13,968,394 common shares outstanding as of March 4, 2025. Its cover page gives the market value of stock held by non-affiliates as $12,234,822 on June 30, 2024. The risk factors name Chief Executive Officer A.J. Kazimi as key personnel and warn that the loss of his services "could have a material adverse effect on our business prospects."
Products and pipeline
Cumberland describes itself as a specialty pharmaceutical company whose primary target markets are hospital acute care, gastroenterology and oncology. The 10-K lists six brands approved by the U.S. Food and Drug Administration: Acetadote (acetylcysteine) injection for acetaminophen poisoning, Caldolor (ibuprofen) injection for pain and fever, Kristalose (lactulose) for oral solution, Sancuso (granisetron) transdermal, Vaprisol (conivaptan) injection and Vibativ (telavancin) injection.
The pipeline is earlier stage. The company's ifetroban candidate is in Phase II programs for Systemic Sclerosis, or scleroderma, and Idiopathic Pulmonary Fibrosis. The 10-K also says Cumberland recently completed a Phase II study in patients with cardiomyopathy associated with Duchenne muscular dystrophy. The business section gives no trial results for that study. The stated next steps are further data analysis and a full study report, ahead of an end-of-Phase-II meeting with the FDA to decide the product's development and commercialization. The filing gives no date for that meeting and describes no approval for ifetroban.
What comes next
The filing does not show how much of the Pinnacle line is drawn, so the size of the bank's claim against the company's assets is unknown. The amendment changes the maturity date and the borrowing terms. It does not change the company's losses or the early stage of its ifetroban programs.
