Tickers CPIX

Cumberland Pharmaceuticals Inc. (Nasdaq: CPIX) closed the sale of its branded products on July 1, 2026. The buyers were Nuvo Pharmaceuticals (Ireland) DAC and certain affiliates of Apotex Inc. The company received $100 million in cash, according to a Form 8-K filed the same day. The asset purchase agreement is dated April 22, 2026. Shareholders approved the deal at a special meeting on June 24, 2026. In its press release, Cumberland said that "over 99% of the votes cast in favor of the transaction" supported the deal.

What was sold and what stayed

The assets sold are the Acetadote, Caldolor, Kristalose, Sancuso, Vaprisol and Vibativ products, plus certain product-related equity interests. Cumberland kept its ifetroban product candidates and its majority ownership of Cumberland Emerging Technologies Inc. A July 1, 2026 amendment to the agreement excludes certain contracts from the assets transferred. The 8-K says two officers will be hired by an Apotex affiliate, and that both signed offer letters as of July 1, 2026.

On June 29, 2026, Cumberland repaid in full about $5.3 million owed under a revolving credit loan agreement with Pinnacle Bank, dated September 5, 2023. The 8-K says all related liens were released.

The money

Cumberland's annual report for 2025, filed March 9, 2026, shows a net loss of $2.8 million for 2025, down from $6.5 million for 2024. Research and development expense was $5.6 million in 2025, up from $4.8 million. The company reported cash provided by operations of $4.9 million in 2025, after cash used in operations of $612,186 in 2024. Year-end 2024 cash and cash equivalents were $18.0 million.

Those 2025 results include the products now sold, and the filings do not split out their revenue or profit. The 8-K attaches unaudited pro forma financial information as of March 31, 2026, which it calls preliminary and illustrative only. The company says the $100 million will strengthen its financial position, but the filings do not show how much of it will remain after costs or taxes. The release says Cumberland will now focus its resources on developing ifetroban.

What remains: ifetroban

Cumberland describes ifetroban, a thromboxane antagonist, as the program it will now focus on. The press release says a Phase II study in patients with cardiomyopathy linked to Duchenne muscular dystrophy produced "breakthrough results". The annual report says Cumberland submitted a clinical study report to the FDA and began interactions to determine the remaining development requirements. The release says interactions with the FDA on study results and requirements for approval have been underway, and the program holds Orphan Drug, Rare Pediatric Disease and Fast Track designations. No approval is reported.

In systemic sclerosis, a Phase II study evaluated safety, and the company says the data are still being evaluated, with top-line results expected next. In idiopathic pulmonary fibrosis, a Phase II study is enrolling in the United States and has announced favorable interim safety findings, with efficacy results the next milestone. In cancer metastasis, a pilot study with Vanderbilt Health in high-risk solid tumors showed a favorable trend toward fewer deaths from metastatic disease in patients given ifetroban rather than placebo. That is a pilot study result, and the release says only that the findings suggest potential.

The annual report names hospital acute care, gastroenterology and oncology as its primary target markets. The 8-K's list of sold products does not include Talicia, a marketed brand in that report, and the filings do not say what happens to it.

The company

Cumberland is a Tennessee corporation headquartered at 1600 West End Avenue in Nashville. Its common stock, with no par value, trades on the Nasdaq Global Select Market under CPIX. The buyers are tied to Apotex Inc., which the press release describes as the largest Canadian-based pharmaceutical company and is headquartered in Toronto.

The 8-K does not name financial advisers or counsel on the sale, and it does not say whether any part of the $100 million is held back.
