Context Therapeutics Inc. (Nasdaq: CNTX) received a Nasdaq extension letter on August 28, 2025, giving it an additional 180 calendar days, until February 23, 2026, to regain compliance with the minimum bid price requirement. It disclosed the extension in a Form 8-K filed September 2, 2025.
Why the company is on the clock
The filing recalls that on February 27, 2025, Nasdaq told the company its common stock had failed to maintain a minimum closing bid price of $1.00 per share for 30 consecutive business days. The extension letter is the next step in that process. The company says the letter has no immediate effect on its listing or on trading in its common stock.
The 8-K gives no closing prices, so it does not show how far below $1.00 the shares have traded or whether the stock has recovered since the February notice.
What the company says it will do
Context says it "intends to actively monitor the closing bid price" and will weigh its options. Those options include a reverse stock split, "if necessary." The company does not say whether it plans one, when, or at what ratio. It adds that "there can be no assurance" it will regain compliance by February 23, 2026.
The losses and the cash
Context is a clinical-stage company that has never been profitable and has not yet sold a product. Its annual report on Form 10-K, filed March 20, 2025, shows a net loss of $26,725,104 for 2024, up from $23,964,211 in 2023. Research and development spending rose to $22,701,335 from $17,782,731. General and administrative expense was $7,222,565, against $7,289,885 a year earlier. Interest income of $3,200,224 offset part of the operating loss.
Cash and cash equivalents were $94.4 million at December 31, 2024. The annual report says that is enough to fund projected operations for at least 12 months from the date the statements were issued. It also says substantial additional funding will be needed to run the company and commercially develop its candidates. The accumulated deficit was $94.8 million at the end of 2024. In 2024 the company raised $94,758,747, net of offering costs, in a private placement of common stock and prefunded warrants, and $14,519,732 net through an at-the-market facility that it used to sell 14,705,882 shares. The latest balance sheet in the annual report is dated December 31, 2024, so it predates the 8-K by several quarters.
Three early candidates
All three of the company's lead programs are at an early stage. CTIM-76 targets Claudin 6 and CD3. Its investigational new drug application was cleared by the Food and Drug Administration in May 2024, and the company dosed a first patient in a Phase 1 trial in January 2025. It plans to provide preliminary data in the first half of 2026.
CT-95 targets Mesothelin and CD3. The company expected to dose its first patient in a Phase 1 trial in the second quarter of 2025, with initial data expected in the middle of 2026. CT-202, which targets Nectin-4 and CD3, has no investigational new drug application yet. The company expects to file one in the middle of 2026.
The annual report gives no clinical results for any of the three programs. Its timetable for the first readouts runs through the middle of 2026, while the extension expires on February 23, 2026. Context's chief executive, Martin A. Lehr, signed the 8-K on September 2, 2025.
