The extension and what it does not fix
Context Therapeutics Inc. (Nasdaq: CNTX) said in an 8-K dated September 2, 2025 that Nasdaq had given it a second compliance period. On August 28, 2025, the Philadelphia company received a letter granting an additional 180 calendar days, or until February 23, 2026, to regain compliance with Nasdaq Listing Rule 5550(a)(2).
That rule, the minimum bid price rule, requires a closing bid price of at least $1.00 per share. The company first received a notice on February 27, 2025, after its common stock failed to hold a closing bid price of $1.00 for 30 consecutive business days.
The 8-K says the extension letter has no immediate effect on the listing or trading of the stock. The company says it will actively monitor the closing bid price and evaluate options, including a reverse stock split if necessary. It adds that there can be no assurance it will regain compliance by February 23, 2026. Martin A. Lehr, the chief executive officer, signed the filing.
The 8-K does not give the share price since the first notice, and it sets no date for any reverse split. It also does not say how many shares or what ratio a split would involve.
Three early programs
The company's 10-K describes Context as a clinical-stage biopharmaceutical company developing T cell engaging bispecific antibodies, known as TCEs, for solid tumors. The pipeline has three candidates, all aimed at solid tumors. The company retains full worldwide development and commercialization rights to CT-95 patents, to certain CT-202 patents, and to certain CTIM-76 patents in the field of bispecific antibodies.
The lead, CTIM-76, is a CLDN6 x CD3 TCE. The FDA cleared its IND, which the company announced on May 2, 2024, to support a Phase 1 dose escalation and expansion trial in patients with CLDN6-positive gynecologic and testicular cancers. The company dosed its first patient in January 2025 and, in the 10-K filed March 20, 2025, said it expected to share initial data in the first half of 2026. The filing says IND-enabling studies are complete.
The second, CT-95, is a mesothelin x CD3 TCE. As of that March 20, 2025 filing, the company anticipated dosing its first patient in the second quarter of 2025 and sharing initial data in the middle of 2026. Mesothelin is overexpressed in approximately 30% of cancers, according to the filing.
The third, CT-202, is a Nectin-4 x CD3 TCE that the company says is designed to be preferentially active in the tumor microenvironment. It expects to file an IND for CT-202 in the middle of 2026. The 10-K notes that Nectin-4 is a clinically validated target for a traditional antibody-drug conjugate, but that it is also associated with certain adverse events, including neuropathy and rash. In March the company was still advancing CT-202 through GMP manufacturing and IND enablement.
Selectivity is the open question
The company says CTIM-76 is highly selective for CLDN6 over CLDN3, CLDN4 and CLDN9. The same filing acknowledges that CLDN6 is structurally complex and similar to other claudin proteins found on healthy tissue, so selectivity is a key development challenge for any CLDN6-targeting asset.
The company estimates that more than 50,000 patients a year in the United States have CLDN6-positive relapsed or refractory disease. That is its own estimate, built on CLDN6 prevalence, patient population size, observed clinical responses and potential for accelerated development.
The 10-K's table is more modest by indication. For endometrial cancer it lists 65,900 U.S. cases, 14,000 relapsed or refractory cases, 51% CLDN6 positive and 22% medium or high expression, for a patient population of 7,140 based on relapsed or refractory incidence. For ovarian cancer the figures are 19,900, 12,800, 44% and 25%, or 5,632 patients. For testicular cancer they are 9,910, 400, 94% and 90%, or 376 patients.
The timetable is also long. The company expects initial data from the lead program in the first half of 2026, while the bid price deadline is February 23, 2026. The 8-K does not report cash, losses or the cost of those trials, so it does not show how the company will fund them.
