CNS Pharmaceuticals, Inc. (Nasdaq: CNSP) filed an investor presentation with the Securities and Exchange Commission on July 2, 2026, as Exhibit 99.1 to a Form 8-K. The deck describes the company's new corporate strategy after a leadership rebuild and a $22.5 million financing. The company says it is searching for clinical-stage assets in oncology or neurology and plans to seek out-licensing partners for its two legacy compounds, TPI 287 and Berubicin.
How the strategy came about
Rami Levin, MBA, was appointed President and Chief Executive Officer on January 1, 2026. After that appointment, the company engaged an independent life science focused advisory firm to analyze its pipeline, development priorities and long-term positioning. While that work was under way, the company appointed a new Chief Business Officer, Chief Financial Officer, Chief Medical Officer and Chief Technology Officer, effective March 2, 2026. On March 11, 2026, the company announced a new corporate growth strategy focused on building a high-value pipeline in neurology and oncology.
The company's earlier development programs centered on glioblastoma multiforme (GBM), a cancer of the central nervous system. Its two investigational compounds, TPI 287 and Berubicin, were both designed to penetrate the blood-brain barrier. The annual report says the company believes patients with GBM need better treatment options, but that these compounds are not in line with the new strategic direction. The presentation says TPI 287 advanced through a randomized Phase 2 evaluation and generated meaningful data in a historically difficult indication. It says the company is exploring out-licensing opportunities for Berubicin so those legacy assets can advance under other sponsors.
The asset search and target markets
The presentation says a formal asset search is under way, targeting high-value preclinical or clinical-stage programs in established markets with clear regulatory pathways. The selection criteria listed in the deck are biological rationale, scientific validation, a defined regulatory strategy, commercial opportunity and best-in-class potential. The company says it wants assets with value-generating catalysts within the next 12 months. The search covers large pharma, biotechnology companies, venture-backed assets, underfunded clinical-stage programs, shelved or deprioritized assets, and companies in distress or restructuring.
The executive team
The presentation names five executives. Rami Levin, MBA, President and Chief Executive Officer, cites 30 years of global leadership experience across oncology, CNS, rare diseases, endocrinology, and cell and gene therapy. Eric Faulkner, MSc, MBA, Chief Technology Officer, has more than 30 years of biotechnology leadership in technical operations, CMC, and product launch. Lynne Kelley, MD, FACS, Chief Medical Officer, has more than 20 years of clinical and regulatory leadership, including IND, NDA and PMA submissions. Steve O'Loughlin, Chief Financial Officer, has 20 years of corporate finance, capital markets and business development experience. Dylan Wenke, MBA, Chief Business Officer, is described as having originated and executed licensing and strategic transactions for emerging biotech companies.
Financial position
The company's financial data from its SEC filings show research and development expense of $9.8 million for the year ended December 31, 2025, compared with $9.3 million for 2024. The net loss was $15.9 million in 2025 and $14.9 million in 2024. Cash from operations was negative $13.8 million in 2025 and negative $17.1 million in 2024. Year-end cash and cash equivalents were $6.5 million at December 31, 2024.
What the deck does not show
The company has not named a target, and no asset has been acquired. A search that includes shelved programs and companies in distress is a plan, not a pipeline. The pivot also means both legacy GBM compounds are being moved off the company's books. The claim that TPI 287 produced meaningful data is the company's own wording, and the deck gives no response or survival figures. The deck gives no terms for the $22.5 million financing, such as price, warrants or fees, and the company lost $15.9 million in 2025 while using $13.8 million in operating cash. The company's own forward-looking caution says the events described may not occur.
