Citius Pharmaceuticals, Inc. (Nasdaq: CTXR) said in a Form 8-K filed August 21, 2026 that Nasdaq had granted its request for an extension through February 8, 2027. The company received the formal notice on August 17, 2026. The filing is signed by Leonard Mazur, the company's chairman and chief executive officer, and reports the event under Item 3.01, which covers notices of failure to meet a continued listing rule.

The rule is Nasdaq Listing Rule 5550(a)(2), which the filing calls the Bid Price Rule. If the stock closes at $1.00 per share or more for at least ten consecutive business days before February 8, 2027, Nasdaq will confirm compliance in writing. If the company has not regained compliance by that date, Nasdaq will send written notice that the common stock is subject to delisting, and the company may then appeal to a Nasdaq hearings panel. The filing does not give the stock's recent closing price, and it does not say why Nasdaq granted the extension.

What the notice changes and what it does not

The notice has no effect at this time on the listing. The common stock continues to trade on The Nasdaq Capital Market under the symbol CTXR. The company says it is evaluating its options for regaining compliance, and it states: "There can be no assurance that we will be able to regain compliance with the Bid Price Rule, even if we maintain compliance with the other listing requirements."

The filing does not name a plan. It does not mention a reverse stock split, a financing or any other step, and it sets no date beyond February 8, 2027. The company's own wording leaves open whether the stock will reach the threshold in time.

Citius Pharma is also tied to a majority owned subsidiary, Citius Oncology (Nasdaq: CTOR). The annual report filed December 23, 2025 says Citius Pharma owned about 77.9% of Citius Oncology as of December 17, 2025, excluding pre-funded warrants. It says Citius Pharma has funded and continues to fund the subsidiary under a shared services agreement, so the parent's cash position matters to the subsidiary's operations.

The business and its cash position

The company describes itself as a biopharmaceutical company focused on critical care products. It says it became a commercial company in December 2025 with the launch of LYMPHIR by Citius Oncology. The annual report says the FDA approved LYMPHIR for persistent or recurrent cutaneous T-cell lymphoma. The company is also developing three proprietary products: Mino-Lok, an antibiotic lock solution for catheter-related bloodstream infections; Halo-Lido, a corticosteroid-lidocaine topical formulation for hemorrhoids; and NoveCite, a mesenchymal stem cell therapy for ARDS.

The annual report lists among its risks the company's ability to obtain additional financing, and the company's compliance with governmental regulations. The figures from the annual report show research and development expense of $9.2 million for the fiscal year ended September 30, 2025, down from $11.9 million a year earlier. Cash used in operations was $26.6 million in fiscal 2025, against $28.2 million in fiscal 2024.

Cash and cash equivalents were $4.3 million at September 30, 2025, according to a quarterly report filed August 14, 2026. The same report gives $17.0 million at June 30, 2026. That balance is set against fiscal 2025 operating cash use of $26.6 million, and the 8-K does not say how the company plans to fund operations after the bid price deadline.

What comes next

The next date the filing gives is February 8, 2027. Until then the listing is unchanged. After that date, Nasdaq would send a delisting notice if the stock has not met the threshold, and the company could appeal to a hearings panel. The filing does not describe any shareholder vote, reverse split or other step the company intends to take before that date.
