CervoMed Inc. (Nasdaq: CRVO) said in its 10-Q filed Aug 7, 2026 that a lawsuit by Paul Feller, the former Chief Executive Officer of its legal predecessor, was set for trial on October 7, 2026. The complaint, Paul Feller v. RestorGenex Corporation, Pro Sports & Entertainment, Inc., ProElite, Inc. and Stratus Media Group, GmbH (Case No. BC553996), was filed on August 7, 2014 in the Superior Court of Los Angeles County, California.
The four companies in the caption are the named defendants. The 10-Q does not explain how each of them relates to CervoMed. It says CervoMed is defending itself vigorously. On March 26, 2026 the court granted in part the company's motion for summary judgment and dismissed some of Feller's claims.
The case
The complaint asserts various causes of action, including promissory fraud, negligent misrepresentation, breach of contract, breach of employment agreement, breach of the covenant of good faith and fair dealing, violations of the California Labor Code and common counts. Feller seeks compensatory damages in an undetermined amount, punitive damages, accrued interest, and attorneys' fees and costs.
The March 26, 2026 order dismissed certain claims related to promissory fraud, negligent misrepresentation, breach of employment agreement and violations of the California Labor Code. The 10-Q does not list the claims that remain.
Defendants
Named in the caption: RestorGenex Corporation; Pro Sports & Entertainment, Inc.; ProElite, Inc.; and Stratus Media Group, GmbH. No individual is named as a defendant in the 10-Q. CervoMed, formerly Diffusion Pharmaceuticals Inc., is not itself named in the caption. The filing treats the matter as the company's own.
Where it stands
The case has moved slowly. On December 30, 2014 the company asked the court to compel arbitration, and on April 14, 2015 the court granted that request. Feller made an arbitration demand with the American Arbitration Association on January 8, 2016. At a November 19, 2018 hearing the court found sufficient grounds not to dismiss the case, and the arbitration was later stayed when Feller filed for personal bankruptcy protection. On October 22, 2021, after the bankruptcy trustee decided not to pursue the claims, the parties agreed to abandon arbitration and return the matter to state court.
A trial date of May 24, 2023 was set at a February 23, 2022 case management conference. Joint stipulations and court orders have since moved it to October 25, 2023, April 24, 2024, October 23, 2024, April 30, 2025, November 26, 2025 and May 13, 2026. Some of those requests cite plaintiff's counsel's health and delays in discovery. The current date of October 7, 2026 was set on March 24, 2026. The company filed a motion for summary adjudication on January 6, 2025, and the 10-Q separately reports the March 26, 2026 partial grant of its motion for summary judgment.
The 10-Q was filed before the trial date. Later CervoMed filings we reviewed do not say whether the trial began.
Why it matters to shareholders
CervoMed says it is unable to predict the outcome or the possible loss or range of loss, if any. It warns that, depending on the outcome, the matter "could have a material adverse effect" on its financial position, results of operations and cash flows. The 10-Q mentions no accrual or insurance for it.
The 10-K for 2025 lists the Feller matter among the ways government investigations and litigation with third parties may affect the business.
