Celularity Inc. (Nasdaq: CELU) received a Nasdaq deficiency notice on July 23, 2026 because the closing bid price of its Class A common stock has been below $1.00 per share for the last 30 consecutive business days. The company disclosed the notice in a Form 8-K filed July 29, 2026. Celularity has until January 19, 2027 to regain compliance with the minimum bid price requirement. The notice has no immediate effect on the listing, and the stock continues to trade on the Nasdaq Capital Market. The company is based in Florham Park, New Jersey.

What Nasdaq told the company

The notice came from the Listing Qualifications department of the Nasdaq Stock Market LLC. It says Celularity no longer complies with the minimum bid price requirement for continued listing on the Nasdaq Capital Market under Nasdaq Listing Rule 5450(a)(1). That rule requires a closing bid price of at least $1.00 per share.

The compliance period

Under Nasdaq Listing Rule 5810(c)(3)(A), Celularity has 180 calendar days, until January 19, 2027, to regain compliance. To do so, the closing bid price of its Class A common stock must meet or exceed $1.00 per share for at least 10 consecutive business days before that date.

If the company does not regain compliance by then, it may be eligible for an additional 180-day grace period. The filing says that would require Celularity to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, except the bid price requirement.

What the company says it will do

Celularity says it intends to actively monitor the closing bid price and will evaluate available options to regain compliance. It also cautions that there can be no assurance it will regain compliance during the 180-day period, obtain a second period, or keep meeting the other Nasdaq listing requirements. The 8-K does not say which options the company is considering, it does not mention a reverse stock split, and it gives no timetable for any decision on those options.

The cash position

The annual report on Form 10-K for 2025 reports a net loss of $91.7 million for 2025 and an accumulated deficit of $991.5 million as of December 31, 2025. Cash and cash equivalents were $6.2 million at that date, which the report says is less than will be required to fund operations for 12 months beyond the issuance date.

The same report states that there is substantial doubt about the company's ability to continue as a going concern, and it describes biomaterial products derived from the placenta. The same report notes that the company effected a 1-for-10 reverse stock split on February 28, 2024.

What the notice leaves open

The 8-K gives the deadline and the rules, but it gives no cash figure and no update on the going concern warning. A company with $6.2 million of year-end cash, measured against a $91.7 million loss for the year, faces a bid price test and a funding test at the same time. The filing treats the notice as having no immediate effect on the listing, and it does not address the funding question that the annual report raises.
