Calidi Biotherapeutics, Inc. (NYSE American: CLDI) sold its entire ownership stake in Nova Cell, Inc., its majority-owned subsidiary, back to Nova Cell for $6,000,000. Most of that price is deferred and depends on future Nova Cell financings, revenue or a change of control. The company disclosed the sale in a Form 8-K filed October 31, 2025. The buyer is Calidi's own majority-owned subsidiary.

The stock sale

On October 27, 2025, Calidi entered into a Stock Repurchase Agreement with Nova Cell. Under it, Calidi transferred 22,500,000 shares of Nova Cell common stock. The 8-K says those shares are 75% of Nova Cell's equity and 100% of Calidi's ownership of it. After the closing, Nova Cell is no longer a Calidi subsidiary. The company estimates the sale will cut general and administrative expenses by $0.5 million a year.

How the $6,000,000 is paid

The price is paid in two parts. The first is the cancellation of debt. Calidi owed Nova Cell under a promissory note dated September 17, 2024. The principal and accrued interest were about $1.9 million, offset by about $0.6 million of costs Calidi incurred on Nova Cell's behalf and a $50,000 cash payment. That leaves an Indebtedness Cancellation Amount of $1,214,864.

The second part is Deferred Consideration of $4,785,136, payable after closing. Nova Cell owes it a percentage of the gross proceeds of any equity or debt financing, or strategic investment, that brings in at least $1,000,000 in cash. The most that can be paid on the deferred amount is $6,000,000 minus the debt cancellation amount.

If Nova Cell merges, issues new securities so that its existing holders no longer own at least 51% of it, or sells or transfers all or substantially all of its assets, it must pay Calidi the greater of a percentage of that deal's consideration or the entire unpaid deferred balance. The percentage is redacted in the exhibit. Once the deferred amount is fully paid, the agreement also provides a royalty on Covered Gross Revenue from products using the materials listed in Schedule A, payable quarterly within 30 days after each quarter-end. The royalty cannot run past the tenth anniversary of Nova Cell's first product sale, and its rate is redacted.

The 8-K says the stock repurchase exhibit redacts some terms. Calidi agrees to give the Securities and Exchange Commission an unredacted copy on a supplemental basis.

The material purchase agreement

The material purchase agreement amends and supersedes in its entirety the parties' July 28, 2024 Intellectual Property Assignment Agreement, which the 8-K says is no longer in effect. Together with a bill of sale, it transfers to Nova Cell the purchased materials listed in Schedule 1, subject to stated limitations and third-party rights.

Nova Cell also agreed to a prohibited use covenant. It may not use the purchased materials for any purpose relating to oncolytic viruses, including testing related to them or use with cells or tissue infected with them. Calidi keeps stocks of the cell lines listed in Schedule 1 for its own use.

The 8-K says no separate termination fee was paid when the earlier agreement was superseded, beyond the consideration and undertakings in the new agreements.

What the deal does and does not show

Calidi is selling a majority-owned subsidiary to that subsidiary, in exchange for a debt cancellation and a promise of future payments. The filing does not give Nova Cell's cash balance, its revenue or its financing plans, so the deferred amount cannot be tested against the buyer's ability to pay it.

The 8-K gives no book value for the shares. The company's only stated benefit is the $0.5 million a year in expense reductions.

The people who signed

Chief Financial Officer Andrew Jackson signed the 8-K on October 31, 2025.

What comes next

The deferred balance depends on two kinds of event: a financing by Nova Cell that brings in at least $1,000,000 in cash, or a merger, sale or change of control. The revenue royalty starts only after the full balance is paid. Until one of those events happens, the $4,785,136 remains a receivable that the filing does not show Nova Cell can pay.
