The deal
BeyondSpring Inc. (Nasdaq: BYSI) agreed on September 28, 2026 to sell all of its ownership interests in BeyondSpring Ltd. to Biolin Investment Limited, a Hong Kong company. The sale was completed on September 30, 2026.
The agreement also covers Dalian Wanchunbulin Pharmaceuticals Ltd., called Bulin in the filing. The company describes Bulin as its majority-owned indirect subsidiary, organized in the People's Republic of China, and Bulin runs the DUBLIN-4 trial in mainland China. The unaudited pro forma exhibit filed with the Form 8-K says no cash consideration was payable to BeyondSpring.
The company instead received noncash consideration in two parts. The first is an exclusive, perpetual, royalty-free license to the data generated by the mainland China part of DUBLIN-4. The license may be used for any purpose except selling Plinabulin or the combination product in mainland China, Hong Kong, Macao and Taiwan. Bulin must give the company copies of the trial data as they are generated, including raw datasets and source data. The second part is the buyer's commitment to fund Bulin's conduct of the trial and the delivery of that data.
The clawback and the trial
Bulin must use commercially reasonable efforts to meet a patient-enrollment target during a three-year Enrollment Period after closing. If the target is missed, the buyer must return part of the equity it acquired, based on the size of the shortfall, and all of it if the shortfall is 90% or greater. The exhibit does not give the target number.
The company treats its data rights and its clawback rights together as contingent noncash consideration. It applies the gain-contingency model, so no value for them appears in the pro forma figures, and any gain will be recognized only when the contingency is resolved. The filing says the value of the data depends on future enrollment, trial performance and data generation.
The company's annual report on Form 10-K, filed March 25, 2026, says it depends substantially on Plinabulin, which is being developed for multiple indications.
The numbers and the control question
The exhibit is unaudited and built on preliminary estimates. It says the accounting and valuation work has not been finalized and that actual results after the sale may differ materially. As reported at June 30, 2026, cash and cash equivalents were $2,697 thousand and the company held a short-term investment of $3,832 thousand. Pro forma for the sale, cash and cash equivalents are $1,459 thousand, and deferred revenue of $29,476 thousand on the reported balance sheet is removed in the disposal.
Reported total shareholders' deficit was $36,025 thousand. On a pro forma basis the company shows equity of $17,265 thousand. The exhibit records a preliminary gain of $53,677 thousand on the sale and values the company's remaining SEED interests at $18,831 thousand. The gain is excluded from continuing operations because it relates to discontinued operations. It comes from removing the disposal groups' net liabilities and re-measuring the remaining SEED stake, not from cash received.
Before closing, the company waived an intercompany balance of about $3,700 thousand owed by a subsidiary in the sold group.
Before the sale, BeyondSpring controlled SEED through a right to designate a majority of its board, although it held less than half of SEED's equity. It keeps one common share of SEED and Series A-1 preferred shares with about 29% of SEED's voting power on an as-converted basis, plus the right to elect two Series A-1 directors. The exhibit says those interests do not give the company control.
What remains open
For the six months to June 30, 2026, the reported net loss from continuing operations was $4,101 thousand, or $3,672 thousand pro forma, with research and development expense of $2,049 thousand and general and administrative expense of $1,914 thousand. For 2025 the reported net loss from continuing operations was $8,715 thousand, or $8,028 thousand pro forma. The company had no revenue in any period shown.
The filing does not give the enrollment target, current enrollment or the timing of data deliveries, so the clawback outcome is the main open question.
