Atara Biotherapeutics (Nasdaq: ATRA) disclosed in its 10-Q filed August 12, 2026 that a putative shareholder class action, Kuang v. Atara Biotherapeutics, Inc., et al., No. 2:26-cv-03083, is pending in the U.S. District Court for the Central District of California. The plaintiff filed it on March 23, 2026 against the company "and certain of its current and former officers". The 10-Q calls them collectively the defendants and does not name the individuals.
The lead plaintiff filed an amended complaint on August 10, 2026. The defendants will respond to it or move to dismiss by October 9, 2026.
The case
The amended complaint purports to assert claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and SEC Rule 10b-5. It is brought for purchasers or acquirers of Atara's securities from May 20, 2024 through January 9, 2026. The complaint alleges that the defendants made materially false or misleading statements and omissions about alleged deficiencies in the Phase 3 ALLELE study of tabelecleucel (tab-cel) for Epstein-Barr virus-positive post-transplant lymphoproliferative disease, and about the likelihood of FDA approval and the regulatory prospects for Atara's Biologics License Application. The 10-Q does not state the relief sought. These are allegations and not findings.
Atara's filing describes the regulatory background separately. In January 2026 the FDA issued a second Complete Response Letter for the application. The company says the letter claims the ALLELE trial is "no longer considered to be an adequate and well-controlled study". In March 2026 the FDA granted a Type A meeting requested by Atara's partner, Pierre Fabre, to address the concerns in that letter.
Defendants
The 10-Q names only the company and refers to unnamed current and former officers. It does not say who they are. Atara's 10-Q for the quarter ended March 31, 2024, filed on May 9, 2024, which is close to the start of the class period, was signed by Pascal Touchon as president and chief executive officer and by Eric Hyllengren as chief financial officer. Atara's 10-K filed March 16, 2026 says Hyllengren left the company in March 2025. It was signed by AnhCo Thieu Nguyen as president, chief executive officer and director and by Yanina Grant-Huerta as chief accounting officer. No filing we read states that any of these people is a defendant in the Kuang case.
Where it stands
The court appointed a lead plaintiff on June 11, 2026, and the amended complaint followed on August 10. Atara has filed no 10-Q or 8-K since August 12 that reports on the October 9 response. Atara says it believes the allegations are without merit and intends to defend against them vigorously. Based on information available to it, the company says any loss is neither probable nor reasonably estimable, so it has accrued no liability for the action. The 10-Q does not describe insurance or indemnification for the case.
Why it matters to shareholders
The 10-Q says litigation can hurt a company through defense costs and the diversion of management resources, whatever the outcome. Atara reports total cash, cash equivalents and short-term investments of $9.9 million as of June 30, 2026. It says that amount will not fund planned operations for the next 12 months and that this raises substantial doubt about its ability to continue as a going concern. The company says it plans to raise capital through offerings, its at-the-market facility, debt or strategic transactions. The board has been reviewing strategic alternatives since January 2025.
The filing identifies no other pending lawsuit against Atara in its legal proceedings section.
