Artelo Biosciences, Inc. (Nasdaq: ARTL) announced on August 27, 2026 a 1-for-9 reverse stock split of its common stock. The split-adjusted shares will begin trading on the Nasdaq Capital Market at market open on August 31, 2026, under a new CUSIP number, 04301G805. The company announced the split in a press release furnished as Exhibit 99.1 to a Form 8-K, and it said a Current Report on Form 8-K describing the split would be filed on August 27, 2026.

How the split works

Each nine shares of issued and outstanding common stock will be automatically combined and converted into one share. No fractional shares will be issued. A shareholder who would otherwise be entitled to a fractional share will receive one whole share of common stock instead.

The release says each shareholder's pro-rata percentage ownership will remain unchanged and that no further action is required from shareholders. All current outstanding warrants to purchase common stock and other derivatives adjust automatically under their terms to reflect the split. Immediately after the split becomes effective, approximately 547,774 shares of common stock will be issued and outstanding.

The company said the split is being effected to increase the price per share of its common stock, in order to improve its marketability and liquidity.

The company

Artelo describes itself as a clinical-stage pharmaceutical company focused on modulating lipid-signaling pathways to develop treatments for people living with cancer, pain, dermatological or neurological conditions. The release gives its location as Solana Beach, California. Its annual report on Form 10-K says the company was incorporated in Nevada on May 2, 2011, and is based in San Diego County, California.

The lead program is ART27.13, a benzimidazole dual cannabinoid agonist that targets the CB1 and CB2 peripheral receptors. It is being developed for cancer-related anorexia. The 10-K says that in an interim analysis of the ongoing Phase 2a CAReS trial, patients with cancer anorexia receiving ART27.13 showed a mean weight gain of over 6%, compared with a 5% loss in the placebo group. It also says there is no FDA approved treatment for cancer anorexia cachexia syndrome. As of December 31, 2025, 32 participants had been enrolled in the Phase 2a portion of the trial.

The second program, ART26.12, is an inhibitor of fatty acid binding protein 5. The FDA cleared its investigational new drug application in July 2024. The 10-K says a Phase 1 single ascending dose study in healthy volunteers enrolled 49 subjects, and that all adverse events were mild, transient and self-resolving. The company announced favorable results from that study in June 2025. The program is intended for chemotherapy-induced peripheral neuropathy, and the company says it may also have uses in cancer, dermatologic conditions, pain and inflammation, and anxiety-related disorders.

Financial position

The XBRL data attached to the company's filings report research and development expense of $5.4 million for fiscal 2025, compared with $6.0 million for fiscal 2024. They report a net loss of $12.9 million for fiscal 2025 and $9.8 million for fiscal 2024. Cash from operations was negative $8.5 million for fiscal 2025 and negative $8.3 million for fiscal 2024.

For year-end cash and cash equivalents, the data show $600,000 for fiscal 2025 in the 10-K. The data also show cash and cash equivalents of $4.2 million at June 30, 2026, from a 10-Q.

What the split and the data do not settle

A reverse split lifts the share price on paper and does nothing for the finances. The release says the aim is better marketability and liquidity but does not mention a Nasdaq deficiency notice. Artelo's net loss grew to $12.9 million for fiscal 2025, it used $8.5 million of operating cash, and its year-end cash was $600,000 before the $4.2 million reported at June 30, 2026. The weight-gain finding for ART27.13 is an interim analysis from an ongoing trial that had 32 participants in its Phase 2a portion at year-end. The source gives no p-value, and it is the company's own summary. The ART26.12 safety result comes from healthy volunteers, not patients.
