A rule on pause
Artelo Biosciences, Inc. (Nasdaq: ARTL) said in an 8-K filed October 9, 2026 that it was among approximately 180 Nasdaq companies initially identified as having a market value of listed securities below a new $5,000,000 minimum. The SEC approved Nasdaq's rule on July 22, 2026. Companies below the threshold may face delisting proceedings unless they can demonstrate a plan to regain compliance within a specified period.
A temporary stay of the rule was announced on July 29, 2026. On October 5, 2026, the SEC published a Nasdaq proposal that would make the rule operative when the stay ends. Comments on that proposal are due by October 29, 2026.
Artelo says it has no information on how long the stay will last, or whether the rule will come back in its current form, or with any changes. The 8-K does not give Artelo's market value of listed securities, its share price or its share count, so a reader cannot tell from the filing how far above or below the threshold the company sits.
Options the company lists
If the rule applies to it, Artelo says it expects to consider its options to regain or keep compliance. The filing lists raising capital through its existing at-the-market equity offering program or other equity and equity-linked financings, actions on outstanding warrants, continued development of its programs and management of operating expenses. The 8-K does not give the size of the at-the-market program or the warrants it refers to.
The company says it has not committed to any course of action and is not soliciting proposals for any transaction. It also says it does not intend to disclose further developments unless it decides disclosure is appropriate or required. The 8-K states that there can be no assurance it will achieve or keep compliance with the rule.
The cash position
The 8-K contains no financial statements, but the company's annual report for 2025, filed February 24, 2026, and its quarterly report filed August 12, 2026 give the figures that bear on the listing question. Net loss for 2025 was $12.9 million, up from $9.8 million in 2024. Cash used in operations was $8.5 million in 2025, compared with $8.3 million in 2024.
Year-end cash and cash equivalents were $600,000 at December 31, 2025, against $2.3 million a year earlier. The later quarterly report gives cash and cash equivalents of $4.2 million at June 30, 2026. Those figures show that cash at the end of 2025 was a small fraction of the cash used in that year, and that the company held more cash in mid-2026 than at year end.
The programs behind the spending
The company's lead program, ART27.13, is a dual cannabinoid receptor agonist in a Phase 1b/2a trial, the Cancer Appetite Recovery Study, for cancer-related anorexia. The annual report says an interim analysis of the ongoing Phase 2a portion showed a mean weight gain of over 6% in patients receiving the drug, compared with a 5% loss in the placebo group. The company says the drug maintained a safety profile similar to Phase 1b. The business section does not give the number of patients in that interim analysis. It says that 32 participants had been enrolled as of December 31, 2025, against a planned 40 evaluable patients, and that no FDA-approved treatment exists for cancer anorexia cachexia syndrome.
The second program, ART26.12, is a fatty acid binding protein 5 inhibitor in development for chemotherapy-induced peripheral neuropathy. The company announced results from a first-in-human single ascending dose study of 49 healthy volunteers in June 2025. It says no drug-related adverse events were seen in the blinded dataset. That study was run in healthy people, so its results describe safety and exposure, not whether the drug treats neuropathy.
The business section gives no date for efficacy data from either program, and it names no partner for either one.
