Armata Pharmaceuticals, Inc. (NYSE American: ARMP) has signed a $25 million secured term loan with Innoviva Strategic Opportunities LLC, a wholly owned subsidiary of Innoviva, Inc., which the filing calls a principal shareholder. The credit and security agreement is dated May 12, 2026. Armata disclosed it in a Form 8-K filed May 13, 2026 under Item 1.01, alongside its first quarter results.

The loan terms

Armata is the borrower. The loan bears interest at 14.0% a year and matures on January 11, 2029. Armata's domestic subsidiaries guarantee repayment, and the loan is secured by substantially all of the assets of Armata and those subsidiaries. The credit agreement is filed as Exhibit 10.1, and it lists the lender's commitment at $25,000,000.

The lender is an affiliate of Innoviva, which is one of Armata's largest shareholders. The loan therefore comes from a holder of the company's equity, not from a bank or a new outside investor, and the filing names no placement agent, underwriter, financial adviser or law firm for it.

Covenants and default triggers

The agreement contains customary affirmative and negative covenants, including financial reporting obligations. It limits indebtedness, liens, collateral, investments, distributions including dividends, mergers and acquisitions, and fundamental corporate changes.

The events of default include payment defaults, breaches of the loan documents, certain losses or impairment of the collateral, and certain bankruptcy or insolvency events. They also include a material deviation from Armata's operating budget, and the occurrence of events that could reasonably be expected to have a material adverse effect, as the agreement defines that term. The material adverse effect trigger rests on a judgment about the company's operations, assets, liabilities or financial condition, not a fixed test.

The cash position

The first quarter release says Armata held about $4.8 million of unrestricted cash and cash equivalents at March 31, 2026, down from $8.7 million at December 31, 2025. The release gives no later cash figure, and it reports about 36.7 million common shares outstanding as of May 8, 2026. The loan is for $25 million.

Armata says the proceeds will be used to continue development of AP-SA02, its lead Staphylococcus aureus phage candidate. Chief Executive Deborah Birx said the top priority for 2026 is advancing AP-SA02 into a Phase 3 superiority study in complicated Staphylococcus aureus bacteremia. The 8-K does not give the cost of that study or how long the loan will fund it.

The annual report

The annual report for 2025, filed March 25, 2026, describes Armata as a late clinical-stage biotechnology company developing bacteriophage therapies for antibiotic-resistant infections. It says the company has completed three Phase 2 clinical trials. Financial data in the annual report put the 2025 net loss at $173.8 million, compared with $18.9 million in 2024. The 8-K does not explain that change, and the loan filing does not say whether the loss is mainly non-cash.

What the loan signals

A secured term loan at 14.0% from a principal shareholder, with liens on substantially all assets, gives the lender a claim ahead of other creditors if Armata defaults. It also means any new equity raise will have to work around that claim. The filing gives no schedule of repayments before January 11, 2029, and does not say whether the company expects to raise further capital before the first Phase 3 readout.

The 8-K does not describe alternative financing the company considered, and the first quarter release does not say how long the cash on hand will last after the loan proceeds are received.
