Shareholders of Aptorum Group Limited voted on June 9, 2026 to approve a merger with DiamiR Biosciences Corp., according to a press release dated June 10, 2026. DiamiR's shareholders approved the transaction the same day. The release is issued under the Aptorum name and gives the ticker as NASDAQ: APM. The annual report and financial data are filed under the name Niki BioSolutions, Inc.
The deal is an all-stock merger under which DiamiR becomes a wholly owned subsidiary of Aptorum. The two companies signed a definitive agreement on July 16, 2025. Completion still depends on the remaining customary closing conditions in the merger agreement, and the companies expect the deal to close before fiscal 2027.
The release says Aptorum filed a registration statement on Form S-4, File No. 333-290742, which the SEC declared effective on May 13, 2026. Notice of the shareholder meeting was mailed to shareholders on May 20, 2026.
The terms the release leaves out
The release does not give the exchange ratio, the number of shares each side will issue, or the ownership split after closing. It does not give DiamiR's revenue, cash or net loss. Those details sit in the Form S-4 and the proxy statement and prospectus, which the release points readers to. Investors who have not read those documents cannot see from the release what share of the combined company each side will hold.
Aptorum's chief executive and chairman, Ian Huen, called the vote "an important step in bringing together two innovative companies." Those are the company's own words, and the release does not spell out the strategic rationale.
What DiamiR does
DiamiR Biosciences is a private molecular diagnostics company. It develops blood-based tests for brain health and other diseases through a CLIA-certified, CAP-accredited laboratory. Its platform analyzes organ-enriched microRNA signatures in plasma, including brain-enriched and inflammation-associated signatures. The release says the platform is protected by more than 50 issued patents worldwide, and that the company works with academic centers, disease foundations and biopharmaceutical companies.
DiamiR's chief executive, Alidad Mireskandari, Ph.D., said the vote reflects confidence in its strategy to advance diagnostics for neurodegenerative and other brain health and aging related diseases. He said the combined company would be "well-positioned to accelerate commercialization efforts." The release gives no sales figures for DiamiR.
Aptorum's own position
Aptorum describes itself as a clinical-stage biopharmaceutical company focused on oncology, including orphan oncology indications, and infectious diseases. Its own annual report, filed March 27, 2026, shows a sharp shift in spending. Research and development expense was $352,879 for 2025, down from $2.2 million for 2024. The net loss was $1.4 million for 2025, against $4.3 million for 2024.
Cash used in operations was $1.8 million in 2025, up from $1.2 million in 2024. Year-end cash and cash equivalents were $3.5 million at December 31, 2025, against $874,238 a year earlier, according to a 6-K filed March 31, 2026. Cash rose in the same year research spending fell, and the release does not explain either change.
The annual report says management concluded that internal control over financial reporting was not effective as of December 31, 2025. It names one material weakness: the lack of dedicated resources responsible for the finance and accounting functions and for preparing the statements under U.S. GAAP. The report also states that the company holds its cash mainly at HSBC, and that it has no significant foreign currency risk because most transactions are in Hong Kong dollars or U.S. dollars.
What comes next
The merger needs the remaining closing conditions to be satisfied or waived. The release does not give a closing date beyond the expectation of a close before fiscal 2027, and it does not say whether DiamiR's shareholders will receive shares in the listed company at a fixed ratio. The forward-looking statements in the release also refer to plans for annualized recurring revenue and customer retention, but the release gives no figures for either.
