Aptorum Group (now Niki BioSolutions) regains Nasdaq bid price compliance

Tickers NIKI

Nasdaq's August 4, 2026 letter says the closing bid price held at $1.00 or more for ten straight business days. The 8-K gives no share price, and the company's latest annual report shows $3.5 million of cash and a material weakness in its controls.

Niki BioSolutions, Inc., formerly Aptorum Group Limited, reported in an 8-K filed August 7, 2026 that it has regained compliance with Nasdaq's minimum bid price rule. Chief Executive Officer Ian Huen signed the filing. The common stock trades on The Nasdaq Capital Market under the symbol NIKI. The cover page lists a Delaware corporation based in Princeton, New Jersey, and gives Aptorum Group Limited, 17 Hanover Square, London, as the former name and address.

How the deficiency started

On March 5, 2026, the Listing Qualifications Department of the Nasdaq Stock Market LLC sent a deficiency letter. It said the closing price of the company's common stock had been below the $1.00 per share minimum for the last 30 consecutive business days, a breach of Nasdaq Listing Rule 5550(a)(2). The letter gave the company a compliance period of 180 calendar days, until September 1, 2026, to fix the problem under Nasdaq Listing Rule 5810(c)(3)(A).

The letter set the test in advance. If at any time during the compliance period the stock closed at $1.00 per share or more for a minimum of ten consecutive business days, Nasdaq would confirm compliance in writing.

The August 4 letter

On August 4, 2026, the company received that confirmation. Nasdaq said that for the last 10 consecutive business days, from July 21, 2026 to August 3, 2026, the closing bid price had been $1.00 per share or greater. It said the company has therefore regained compliance with Rule 5550(a)(2) and the matter is now closed.

The 8-K does not say what the price was on any of those days, so it does not show how far above the $1.00 line the stock closed. It also does not say what steps the company took, if any, to lift the price.

The company behind the listing

The filing carries no financial results. The company's annual report on Form 20-F, filed March 27, 2026, gives the picture for 2025. Research and development expense was $352,879, against $2.2 million in 2024. The net loss was $1.4 million, against $4.3 million. Cash used in operations was $1.8 million, up from $1.2 million. A 6-K filed March 31, 2026 puts year-end cash and cash equivalents at $3.5 million, against $874,238 a year earlier.

The documents do not give a cash runway estimate or say how the company paid for its 2025 operations.

The annual report also records weaknesses in the company's controls. Management concluded that disclosure controls and procedures were not effective at the reasonable assurance level as of December 31, 2025, and that internal control over financial reporting was not effective. Management and its independent auditor identified one material weakness: the lack of dedicated resources to take responsibility for the finance and accounting functions and for preparing the financial statements under U.S. GAAP. The report says the company has taken actions to remediate the weakness since 2019 and believes it is still working to remediate it.

Other risks the annual report lists

Most of the company's transactions are denominated in Hong Kong dollars or U.S. dollars, and the report says it has no significant foreign currency risk because the Hong Kong dollar is pegged to the U.S. dollar. Its cash balances are held mostly with HSBC, which the company considers well established with a high credit rating. The report says the company does not have American Depositary Shares. It also says it generally has not acquired new investments in unlisted securities since its 2017 restructuring into an operating company, to limit liquidity risk.

What comes next

The matter is closed, but the filing says nothing on whether the compliance will last. Nasdaq's rule is a continuing one, and the 8-K does not describe any monitoring period or any plan if the closing bid slips below $1.00 again.
