Anika Therapeutics, Inc. (Nasdaq: ANIK) completed the sale of Parcus Medical, LLC, a former wholly owned subsidiary, to Medacta Americas Manufacturing, Inc. on March 7, 2025. The buyer delivered $4,500,000 in cash at closing, and the total consideration remains subject to customary post-closing adjustments. Anika reported the completed sale in a Form 8-K filed March 11, 2025. The company's shares trade on the Nasdaq Global Select Market, according to the cover page of the filing.

The deal

Under Item 2.01 of the 8-K, Anika sold all of the outstanding equity interests in Parcus. Parcus is a Wisconsin limited liability company. The buyer is a Delaware corporation. The parties signed a Membership Interest Purchase Agreement dated as of the closing date, and the 8-K calls the sale the "Transaction."

The filing does not give the amount of any post-closing adjustment or a timetable for settling it. It also does not say whether the $4,500,000 is the final price. The 8-K gives the cash figure as the amount delivered at closing, and nothing more.

Anika issued a press release on March 7, 2025 announcing the completed sale. The company furnished it as Exhibit 99.1 under Item 7.01, which means it is not treated as filed under Section 18 of the Securities Exchange Act of 1934.

What Parcus was worth to Anika

Anika's annual report on Form 10-K, filed March 15, 2024, describes Parcus as a sports medicine and instrumentation solutions provider. The company bought it, along with Arthrosurface, Inc., as part of a 2020 push to widen its technology platform and expand its commercial operations, especially in the United States. Through those acquisitions it entered sports medicine and bone-preserving joint replacement markets.

The same report shows the cost of that push. In 2023, Anika recorded an impairment charge of $62.2 million on intangible assets related to the Arthrosurface and Parcus acquisitions. The annual report says impairment charges like this could affect results and the stock price. The 8-K does not discuss the impairment or say how much of the 2023 writedown relates to Parcus alone. The filing also does not describe the buyer's plans for the business.

The company's net loss for 2023 was $82,667 thousand, against a net loss of $14,859 thousand for 2022. The annual report lists those figures on the face of its income statement.

The company's direction

Anika describes itself as a joint preservation company founded in 1992. The annual report says it has over thirty years of global expertise developing, manufacturing and commercializing products based on its hyaluronic acid, or HA, technology platform. HA is a naturally occurring polymer found throughout the body, and the company builds its products on it. Its focus areas include osteoarthritis pain management, regenerative solutions, sports medicine and its Arthrosurface joint solutions. The annual report says Anika's largest customer, Mitek, accounted for 45% of product revenue in 2023.

The annual report's strategy section says the Parcus and Arthrosurface acquisitions were meant to diversify revenue across the joint preservation markets. The 8-K does not explain why the company chose to sell Parcus rather than keep it in that strategy.

People

President and Chief Executive Officer Cheryl R. Blanchard signed the 8-K on March 11, 2025. The annual report also lists Mitek's actions among its risks: Anika's license agreements with Mitek give Mitek substantial control of Monovisc and Orthovisc in the United States. Mitek's share of Anika's product revenue was 43% in 2022 and 45% in 2021.
