Anebulo Pharmaceuticals, Inc. filed a Form 15 with the SEC on March 2, 2026. The form is a certification and notice that terminates the registration of a class of securities, or suspends the duty to file reports under Sections 13 and 15(d) of the Securities Exchange Act of 1934. The filing covers the company's common stock, $0.001 par value per share. It lists no other class of securities for which a duty to file reports remains.

The company marked Rule 12g-4(a)(1) and Rule 12h-3(b)(1)(i) as the provisions it relies on. It gives the approximate number of holders of record as of the notice date as 71. The commission file number is 001-40388, and the company's principal executive offices are in Lakeway, Texas.

The form is signed by Richard Anthony Cunningham, listed as chief executive officer and interim chief financial officer, and dated March 2, 2026.

What ends with the filing

Once the duty to file reports ends, the company would no longer be required to file annual and quarterly reports with the SEC. The Form 15 itself does not say whether Anebulo will publish financial statements another way, and it contains no financial figures.

The 71 holders of record is the only number the form gives about the shareholder base. It does not say how many shares are outstanding, and it does not describe any tender offer, delisting or other transaction that led to the filing.

What the company is developing

Anebulo describes itself as a clinical-stage pharmaceutical company developing treatments for cannabis-induced toxicity. Its lead candidate, selonabant, is intended to reverse the effects of THC. The annual report for the fiscal year ended June 30, 2025, filed September 29, 2025, says there are no approved medical treatments for cannabis-induced toxicity, and that the company is not aware of competing products further along in development for reversing cannabinoid effects.

The report estimates that cannabis-related emergency department visits grew to about 1.8 million patients in 2021, from about 1.1 million in 2014, and says it expects the number to keep rising as more states legalize cannabis. Those figures come from a published analysis the company cites.

The main clinical evidence is the Netherlands trial, a randomized, double-blind, placebo-controlled Phase 2 study of oral selonabant in healthy adults challenged with THC. Results for Parts A and B, in a total of 134 subjects, were announced on March 28, 2023. An open-label extension, Part C, added 20 subjects and was completed in August 2023. Those subjects were healthy volunteers, not patients who had taken cannabis.

After a July 2023 meeting with the FDA, the company says the agency indicated that a single well-controlled study in emergency department patients, combined with a larger THC challenge study in volunteers, could potentially support a new drug application. The company has chosen not to proceed directly with the adult Phase 3 program. It is prioritizing an intravenous formulation for children with unintentional cannabis poisoning, and started a single ascending dose study of that version in healthy adults in the third quarter of calendar 2025.

The money

The annual report shows research and development expense of $4.3 million in fiscal 2025, up from $3.5 million in fiscal 2024. The net loss was $8.5 million in fiscal 2025, against $8.2 million a year earlier. Cash used in operations was $6.3 million in fiscal 2025 and $8.1 million in fiscal 2024. At June 30, 2024 the company held $3.1 million in cash and cash equivalents.

A quarterly report filed February 12, 2026 gives cash at June 30, 2025 as $11.6 million and at December 31, 2025 as $9.0 million. The company's cash was therefore lower at the end of 2025 than at mid-year.

What comes next

With the Form 15 filed, the company's periodic reports end, and the notice gives no date for any financing, no timetable for the IV program's next clinical step, and no figure for what the company spends to remain a reporting company. The filings in this story leave the company's funding plan unexplained.
