Amneal Pharmaceuticals, Inc. (Nasdaq: AMRX) said in a Form 8-K dated August 3, 2026 that its subsidiary, Amneal Pharmaceuticals LLC, and certain subsidiaries acting as guarantors signed Amendment No. 3 to the term loan credit agreement dated November 14, 2023. JPMorgan Chase Bank, N.A. is the administrative agent, and the other lenders party to the agreement consented to the change. Amneal is based in Bridgewater, N.J.

The repricing terms

Each consenting lender converted its existing term loans, on a cashless basis, into new term loans with an aggregate principal amount of $2.039 billion. Amneal also took on a new term loan of $45.2 million. Its proceeds were used to prepay at par any existing term loans that did not convert.

The margin on the new loans falls by 50 basis points, to 1.50% on loans priced off the base rate and 2.50% on loans priced off the secured overnight financing rate. The stated maturity of August 1, 2032 is unchanged. Amneal estimates that annualized cash interest savings would be approximately $12 million, based on the amounts outstanding before the amendment. The amendment also allows a further repricing without a prepayment premium after February 3, 2027.

The filing does not give total debt outstanding after the amendment, so the $12 million estimate cannot be set against a full debt figure from the 8-K. It is the company's own estimate.

Earnings, cash and the business behind the debt

Amneal's annual report for 2025, filed February 27, 2026, shows revenue of $3.02 billion, up from $2.79 billion in 2024. The company reported net income of $72.1 million for 2025, after a net loss of $116.9 million in 2024. Cash provided by operations was $340.0 million in 2025, compared with $295.1 million in 2024. Research and development expense was $186.2 million in 2025 and $190.7 million in 2024.

The Affordable Medicines segment includes more than 280 product families in the United States. The annual report says 61 products have a pending ANDA and 43 more are in development. Amneal's denosumab biosimilars, Boncresa and Oziltus, were approved on December 22, 2025, and the company says that gives it five biosimilars commercially available in the U.S. Its Specialty segment sells CREXONT, RYTARY, UNITHROID and Brekiya, with a focus on central nervous system disorders, including Parkinson's disease.

The respiratory approvals are recent. In October 2025 the FDA gave tentative approval to a generic QVAR, beclomethasone dipropionate HFA inhalation aerosol, and in December it approved a generic ProAir HFA, albuterol sulfate inhalation aerosol. In December 2025 Amneal also signed a distribution agreement with Valorum Oncology, LLC, which is the exclusive distributor of ALYMSYS in the U.S. and Puerto Rico. That agreement has a tiered profit-sharing structure and an initial term through 2028.

The same report warns that market entry by additional competitors generally has a negative impact on the volume and pricing of the affected products. Amneal also submitted a BLA for an omalizumab biosimilar candidate in September 2025.

Lenders, signatory and next steps

JPMorgan Chase Bank, N.A. is the agent on the facility. The 8-K does not name the other consenting lenders, and it names no placement agent or advisor for the amendment. It also names no outside counsel. Amneal's chief financial officer, Anastasios Konidaris, signed the filing as executive vice president.

The amended loans carry the same August 1, 2032 maturity, and the 8-K attaches the amendment as Exhibit 10.1. The next date in the filing is February 3, 2027, when the company can reprice again without a premium. Until then, the $12 million estimate is the only savings figure the filing gives.
