Amneal Pharmaceuticals, Inc. (Nasdaq: AMRX) said that its subsidiary, Amneal Pharmaceuticals LLC, signed a repricing amendment to its term loans on February 2, 2026. The company reported it in a Form 8-K filed February 3, 2026 under Items 1.01 and 2.03, which cover material agreements and new direct financial obligations. A repricing amendment changes the price of debt a company already owes. It does not, on its own, reduce the amount owed.
Who arranged the amendment
The amendment is Amendment No. 2 to the Term Loan Credit Agreement dated November 14, 2023. JPMorgan Chase Bank, N.A. is the administrative agent. The filing names the subsidiary, Amneal Pharmaceuticals LLC, as the borrower, and certain of its subsidiaries as guarantors. The other parties are "the other lenders party thereto consenting to the Repricing Amendment". The 8-K does not name those lenders, and it names no lead arranger, book-runner or outside counsel.
What changed
Each consenting lender converted its existing term loans on a cashless basis into new term loans. Cashless means no new cash changed hands for the converted amount. Those converted loans total $1,960,076,527.50 in principal.
The borrower also took on a new term loan of $134,673,472.50. The filing says that loan, together with certain other sources of funds, was used to prepay at par any existing term loans that were not converted. So the amendment added new borrowing of $134,673,472.50 even as it cut the margin on the loans.
The interest margin falls by 50 basis points on the new loans. A basis point is one hundredth of a percentage point. The margin is now 2.00% on loans priced off the base rate and 3.00% on loans priced off the secured overnight financing rate. The maturity date of August 1, 2032 does not change.
The amendment also allows a repricing transaction without a prepayment premium if it happens after August 2, 2026. The 8-K does not describe any such transaction.
The savings estimate
The company estimates that annualized cash interest expense will fall by about $11 million compared with the existing credit agreement. The estimate uses the amounts borrowed and outstanding immediately before the amendment, so it is a projection, not a reported result. The 8-K includes a cautionary note about forward-looking statements, and the estimate could differ if rates or balances change.
The saving is modest against the scale of the debt. The new loan of $134,673,472.50 is an addition, and the converted loans keep their maturity. The annual report for 2024 says the Affordable Medicines segment includes approximately 270 product families, and that at December 31, 2024 it had 76 products with a pending ANDA and another 56 products in various stages of development. The 8-K gives no cash balance, no earnings and no use of the new borrowing beyond the prepayment of non-converted loans.
