Altimmune, Inc. (Nasdaq: ALT) stockholders approved the increase at the 2026 Annual Meeting on April 16, 2026, and the company filed the Certificate of Amendment with the Delaware Secretary of State the same day. The 8-K says the amendment got more than a majority of the votes cast. The tally was 63,684,172 for, 24,151,522 against and 434,671 abstentions.
The share count
Altimmune had 130,105,177 shares of common stock outstanding and entitled to vote on the March 13 record date. Shares present or represented at the meeting totaled 88,270,365, or 67.8% of the outstanding shares, which was enough for a quorum. The 8-K does not say what the company plans to issue under the higher limit.
Stockholders also approved raising the shares reserved under the 2019 Employee Stock Purchase Plan from 403,500 to 1,108,827. That proposal drew 43,616,919 votes for, 8,572,159 against and 225,703 abstentions, with 35,855,584 broker non-votes. The filing does not give a reason for the change.
The other votes
Nine director nominees were up for election. Jerome Durso, the chairman, received 47,577,875 votes for and 4,836,906 withheld. Ernst & Young LLP was ratified as the independent registered public accounting firm for the year ending December 31, 2026, with 84,959,584 votes for, 1,771,538 against and 1,539,243 abstentions.

The clinical record in the annual report
The annual report, filed March 6, 2026, describes Altimmune as a late clinical-stage company developing treatments for serious liver diseases. Its lead candidate, pemvidutide, is in development for metabolic dysfunction-associated steatohepatitis, known as MASH, and for alcohol use disorder and alcohol-associated liver disease. The report says more than 700 patients have been exposed to pemvidutide in eight completed studies and two ongoing ones as of December 31, 2025.
The MASH case rests on the IMPACT Phase 2b trial, which enrolled 212 people with biopsy-confirmed MASH. At 24 weeks, the share with MASH resolution and no worsening of fibrosis was 58.2% on the 1.2 mg dose and 52.1% on the 1.8 mg dose, against 19.9% on placebo. That analysis counted subjects with missing biopsies as non-responders. The report's heading calls this statistically significant.
The 48-week topline results, announced December 19, 2025, are less direct. The report says that, by design, those results did not include a histological readout, which is the biopsy measure behind the 24-week resolution figures. The 48-week data instead showed improvements in two non-invasive tests of liver stiffness and fibrosis. The report calls the results positive. It does not show biopsy-based resolution at 48 weeks.
The report says pemvidutide had discontinuation rates for adverse events of less than 1% at 1.2 mg and 1.2% at 1.8 mg, against 2.4% for placebo, and that no dose titration was used in the trial. It also says the FDA granted Breakthrough Therapy Designation and Fast Track designation for MASH. Those designations do not amount to approval, and the report does not give a filing date for a marketing application.
The company's wording goes further than its data in places. It says pemvidutide has shown "class-leading lean mass preservation," and it says it believes pemvidutide is the only glucagon and GLP-1 dual receptor agonist with balanced 1:1 potency. Those are the company's views.
The money
The annual report gives a 2025 net loss of $88.1 million, against $95.1 million in 2024. Cash used in operations was $67.5 million in 2025, against $79.8 million in 2024. Research and development expense was $66.4 million, against $82.2 million, and revenue was $41,000, against $20,000. The 8-K does not discuss the company's finances, and the figures above come from the annual report.
