The consolidation

Alterity Therapeutics Limited, with tickers ATH on the ASX and ATHE on Nasdaq, completed a consolidation of its share capital on a 1-for-50 basis. Shareholders approved the consolidation at an extraordinary general meeting held on 29 May 2026. The company reported it in an exhibit to a Form 6-K dated 30 July 2026, which contains its Appendix 4C quarterly cash flow report for the quarter ended 30 June 2026. The release does not give a reason for the consolidation.

Cash and the quarter's outflow

Cash and cash equivalents were A$37.3 million at 30 June 2026. The release gives operating cash outflows for the quarter as A$7.72 million. The Appendix 4C reports net cash used in operating activities of A$7,174 thousand, after interest received of A$373 thousand and income taxes paid of A$19 thousand. The two figures differ, and the release does not explain the gap.

Financing activities brought in a net negative A$38 thousand in the quarter, so the company raised no new equity in that period.

The report's runway item estimates 5.2 quarters of funding available, calculated from cash of A$37,318 thousand and the operating outflow in the report. The company marked its three going-concern questions as N/A. The form requires those answers only where the estimated funding is less than two quarters.

After the quarter ended, on 9 July 2026, the company received an R&D tax refund for the 2025 financial year totalling A$3,982,992, including A$43,117 of interest, under the Australian Government's R&D Tax Incentive.

Strategic alternatives

The company says it continues to evaluate a range of strategic and funding alternatives to support ATH434. These include ongoing discussions with a number of pharmaceutical companies, and a structured evaluation process with the assistance of external advisers. The release does not name those advisers, any potential partner or any proposed terms.

The FDA path and the Phase 3 design

The release says minutes from an End-of-Phase 2 meeting with the FDA confirmed a registrational pathway for ATH434 in multiple system atrophy, a rare Parkinsonian disorder with no approved therapy. The FDA indicated that a single pivotal Phase 3 trial plus confirmatory evidence could support approval, and the company anticipates that its earlier ATH434-201 Phase 2 data will supply the confirmatory evidence. The company, not the FDA, calls this a de-risking of the regulatory path. The agency also agreed on the study population, the treatment regimen and the 11-item UMSARS Part I rating scale as the primary endpoint.

The planned trial is expected to enroll about 200 patients, randomized 1:1 to ATH434 50 mg or matching placebo twice daily for 12 months, with an open-label extension afterward. The release names only that dose and does not discuss any other dose.

In April 2026 the company reported positive FDA feedback from a Type C meeting on chemistry, manufacturing and controls, and it says it has manufactured the first registration batch of ATH434 for the pivotal trial. The company says Phase 3 trial activities are on track to start by year-end 2026. The release gives no budget or cost estimate for the trial.

What is still missing

The FDA steps are real progress for a program in a rare disease. Against them, the report shows A$37.3 million of cash and a company estimate of about five quarters of funding, with the Phase 3 trial still to start. The release lists continued evaluation of strategic funding and partnering alternatives to support Phase 3 development, but it names no partner, gives no terms and does not say how the trial will be paid for.

Background

The company's 20-F, filed August 29, 2025, says ATH434 is designed to block the accumulation and aggregation of alpha-synuclein, a protein implicated in neurodegeneration. The company has been granted Fast Track designation for ATH434 in multiple system atrophy and orphan drug designation for the same indication.
