Stockholders of AlloVir, Inc. (Nasdaq: ALVR), the listed company now named Kalaris Therapeutics, voted in favor of all proposals at a special meeting held on March 12, 2025. The proposals included approval of AlloVir's merger with privately held Kalaris Therapeutics, Inc., the two companies said.

The merger is expected to close as soon as practicable, subject to the satisfaction or waiver of the remaining customary closing conditions, according to the joint press release filed with an 8-K.

After closing, the combined company is expected to be renamed Kalaris Therapeutics, Inc. and trade on The Nasdaq Capital Market under the ticker "KLRS."

Kalaris, based in Palo Alto, California, is a clinical-stage company working on treatments for retinal diseases. Its lead program, TH103, is an investigational anti-VEGF therapy in an ongoing Phase 1 trial for neovascular age-related macular degeneration. AlloVir, based in Lexington, Massachusetts, is an allogeneic T cell immunotherapy company that the release describes as having been focused on viral diseases.

The companies' cautionary statements list risks that include the closing conditions not being met, the timing of the deal, and adjustments to the exchange ratio that could leave AlloVir and Kalaris stockholders owning more or less of the combined company than now expected.
