Alaunos Therapeutics, Inc. reported in a Form 8-K that its board of directors approved and adopted Second Amended and Restated By-Laws on September 16, 2026, effective immediately. The new by-laws replace the Amended and Restated By-Laws adopted January 8, 2026. Chief Executive Holger Weis signed the report on September 16, 2026, the date of the board action. The filing reports the change under Items 3.03 and 5.03. The company's 10-K, filed March 31, 2026, covers the year ended December 31, 2025.

The quorum change

The principal substantive change is to Article 2, Section 2.8. Under the prior by-laws, a quorum for a stockholder meeting was the presence, in person or by proxy, of holders of a majority in voting power of all outstanding shares entitled to vote. The new by-laws set the quorum at one-third of that voting power. The provisions on adjournment when there is no quorum are unchanged.

The by-laws also include conforming, clarifying and non-substantive changes, such as updated defined terms and minor typographical and formatting corrections. The quorum for meetings of the board and its committees remains a majority. The company says the description is qualified by the full text of the by-laws, filed as Exhibit 3.1 and dated September 16, 2026. The filing does not give a reason for the change.

The program and recent data

Alaunos describes itself as a preclinical-stage biopharmaceutical company developing oral, small-molecule therapies for obesity and related metabolic disorders. Its lead program, ALN1003, is described as a non-hormonal, non-incretin approach. The company says it was previously a clinical-stage oncology company focused on adoptive TCR-T cell therapies.

In its first study, the company dosed 12 mice per group with ALN1003 as low, controlled oral doses split into two doses each day. Daily body weight, food and water consumption were measured at the cage level. Body weight change peaked at -12.9% relative to diet-induced obesity controls, and the company says these findings suggest encouraging metabolic effects of ALN1003 in the model. Liver weight was reduced by 43% compared with untreated mice. The company reported mild, short-term, reversible reduced movement after roughly one-half of the dose administrations, and no similar observations in controls. The company says its p-values are nominal and unadjusted for multiple comparisons, and the reduced movement is a tolerability signal in mice that humans may or may not share. The second study was a pilot of 14 days of treatment followed by a 4-day pharmacokinetic period, with six mice per group at three dose levels. The highest dose lowered blood sugar to 197 mg/dL, against 320 mg/dL in controls.

The company also reported body composition results for the second study. It described dose-related changes driven mainly by fat loss, and said fat in the high-dose group fell 44.6% (-8.9g) from baseline through Day 17. On March 2, 2026, it announced what it called positive preclinical proof-of-concept data for ALN1003 in two mouse studies. Both studies were small and in animals only.

Financial position and next steps

Net loss for 2025 was $4.2 million, and the accumulated deficit was $924.6 million as of December 31, 2025. Research and development expense was $1.4 million in 2025, against $362,000 in 2024. Cash used in operations was $2.9 million. Cash and cash equivalents were $124,000 at June 30, 2026, according to its quarterly report.

The company says it will keep incurring substantial operating losses and will require significant additional capital to fund operations and advance its programs.

What the change could mean

The filing gives no reason for lowering the quorum. A one-third quorum means fewer shares need to be present for a stockholder meeting to be valid and for votes to count. With cash of $124,000 at June 30, 2026, no human data for ALN1003 and an accumulated deficit of $924.6 million, the company's main hurdles remain money and clinical proof, not meeting mechanics. The by-law change takes effect immediately.
