AIM ImmunoTech Inc. (NYSE American: AIM) said on June 15, 2026 that the NYSE American has notified it that the company regained compliance with the exchange's continued listing standards for stockholders' equity. The exchange formally notified the company on June 12, 2026, that AIM had addressed and resolved all deficiencies under Sections 1003(a)(i), (ii), and (iii) of the NYSE American Company Guide. As a result, the ".BC" indicator will be removed from the company's trading symbol, and AIM will be removed from the exchange's list of noncompliant issuers on its website.
How the company rebuilt its equity
The company described three transactions in May and June. On May 7, 2026, it entered into a warrant exercise inducement offer letter with certain holders of existing warrants. Under that letter, the holders agreed to exercise their warrants in cash at a reduced exercise price, in exchange for the company issuing them new warrants. The company said that step brought in aggregate gross proceeds of approximately $3.5 million.
On May 21, 2026, AIM issued and sold 7,519,351 shares of common stock. In a concurrent private placement, it also sold Class I warrants to purchase up to 15,038,702 shares of common stock to certain investors. The release gives aggregate gross proceeds of approximately $2.4 million for that sale.
On June 10, 2026, the company issued and sold 2,554,119 shares of common stock. In a concurrent private placement, it sold 771,503 shares of common stock, pre-funded warrants to purchase up to 1,782,616 shares, and Class J warrants to purchase up to 10,216,476 shares. The release gives aggregate gross proceeds of approximately $2.6 million for that round.
Following the closing of these transactions, the company said it believes it has stockholders' equity in excess of the $6.0 million minimum requirement.
The business behind the listing
AIM describes itself as an immuno-pharma company headquartered in Ocala, Florida. Its stated focus is the research and development of therapeutics for multiple types of cancers, viral diseases and immune-deficiency disorders. The lead product is Ampligen (rintatolimod), a double-stranded RNA molecule. The company's annual report says Ampligen has not been approved by the FDA or marketed in the United States, but it is approved for commercial sale in the Argentine Republic for the treatment of severe Chronic Fatigue Syndrome. The company's other product is Alferon N Injection, an interferon alfa.
In its 10-K, filed March 27, 2026, AIM says it has chosen to concentrate its efforts on Ampligen for late-stage pancreatic cancer. The Phase 2 study, called DURIPANC, combines Ampligen with AstraZeneca's Imfinzi (durvalumab) in patients with metastatic pancreatic cancer whose disease was stable after FOLFIRINOX standard of care. The annual report says Eighteen patients have been enrolled in the study, which is expected to enroll up to 25 subjects in its Phase 2 portion.
In March 2026, the company announced an agreement with the PPD clinical research business of Thermo Fisher Scientific to design its anticipated Phase 3 clinical trial of Ampligen in late-stage pancreatic cancer.
Financial position
The XBRL figures from the 10-K show revenue of $88,000 for the fiscal year ended December 31, 2025, compared with $170,000 for the fiscal year ended December 31, 2024. Research and development expense was $3.9 million in 2025 and $6.2 million in 2024. The net loss was $14.0 million in 2025 and $17.3 million in 2024. Cash used in operations was $11.0 million in 2025 and $14.9 million in 2024. At year-end 2024, cash and cash equivalents were $1.7 million and short-term investments were $2.3 million.
The risks ahead
AIM has regained compliance, but the equity came from selling shares and warrants, and the company says it stays under the exchange's continued listing monitoring. The 10-K shows a net loss of $14.0 million and cash used in operations of $11.0 million for 2025, while the two latest share sales raised about $2.4 million and $2.6 million gross. Ampligen is not approved by the FDA. The lead study is a single-center Phase 2 trial of up to 25 subjects, and a Phase 3 trial is still to be run. The release says no assurance can be given that trials will succeed.
