Agenus Inc. (Nasdaq: AGEN) completed the sale of substantially all of its manufacturing operations to Zydus on January 15, 2026. The buyer was Zydus Pharmaceuticals (USA) Inc., later assigned to Zydilac Bio, LLC, a subsidiary of Zydus Lifesciences Limited. The Form 8-K filed January 16, 2026 says Agenus received $75.0 million, less reimbursable expenses and required closing payments. The assets include real estate, equipment and certain assumed contracts, all run primarily through its subsidiary Agenus West, LLC. The asset purchase agreement dates from June 3, 2025.
The equity sale and the license
On the same day, a Zydus affiliate, Zynext Ventures USA LLC, closed its purchase of 2,133,333 shares of Agenus common stock. The aggregate price was about $16.0 million, or $7.50 per share. The 8-K says the terms of the securities purchase agreement are in a quarterly report filed with confidential terms redacted.
The closing also made effective a license agreement under which Zydus Lifesciences Limited gets an exclusive license in India and Sri Lanka to develop, manufacture and commercialize products based on Agenus's BOT/BAL cancer immunotherapy drug product. The press release says Agenus can receive up to $50 million in contingent milestone payments, triggered by BOT+BAL production orders, and a 5% royalty on net sales in those two territories.
What the company keeps, and what it gives up
The press release says the Emeryville and Berkeley, California biologics manufacturing facilities now move to Zydus. The buyer will house them in a newly formed subsidiary. Agenus says it has secured committed manufacturing capacity at those U.S. sites for BOT+BAL supply to its own clinical trials, global access programs and future commercialization. In other words, Agenus sold the plants but still depends on them for supply.
The company's chairman and chief executive, Dr. Garo Armen, Ph.D., said the closing "strengthens our balance sheet" and "secures dedicated U.S. manufacturing capacity". The press release headline calls the arrangement a $141 million collaboration. Its listed terms are the $75 million upfront, the $16 million equity purchase and up to $50 million in contingent milestone payments. Only the upfront and the equity purchase closed on January 15, 2026. The milestones depend on future production orders.
Agenus says it was advised on partner selection, deal structure and negotiations by Porrima Ltd and Biotech Value Advisors (BVA). The 8-K does not name the counsel on the sale.
The clinical case for BOT+BAL
The press release says that in 2025 the combination produced a two-year overall survival rate of 42% and a median overall survival of 21 months in an expanded cohort of 123 patients with third-line or later microsatellite-stable metastatic colorectal cancer without active liver metastases. The release does not say whether the cohort was randomized or had a control group. These are the company's figures from one cohort, not a controlled comparison.
The global Phase 3 BATTMAN trial, led with the Canadian Cancer Trials Group, would compare BOT+BAL with best supportive care in about 800 patients at more than 100 sites in Canada, France, Australia and New Zealand. The release says sites are activated and prepared to enroll, so the trial has no results yet. In France the drug is available only through an authorized early access framework with full government reimbursement for eligible hospital patients. That is an access route, not a marketing approval, and the release says that until marketing authorization the drug is available only through clinical trials and authorized early access.
Financial position and what is missing
Neither the 8-K nor the press release gives Agenus's cash position at closing. The 8-K points to pro forma financial statements in Exhibit 99.2, and the press release does not quantify the stronger balance sheet it cites. The 8-K does not say how the $75 million will be used. Zydus's Sharvil P. Patel said the transferred sites will offer contract manufacturing services to biopharmaceutical companies globally. Agenus was founded in 1994, is headquartered in Lexington, Massachusetts, and describes adoptive cell therapies conducted through MiNK Therapeutics.
