Aethlon Medical, Inc. stockholders approved an increase in the company's authorized common stock from 20,000,000 to 200,000,000 shares at the annual meeting, held virtually on October 1, 2026, according to a Form 8-K filed that day. A quorum was present. Of the 711,136 shares entitled to vote as of the August 10, 2026 record date, 399,752 shares, or approximately 56.21%, were represented by proxy or in person.

The director and auditor votes

Five directors were elected: Edward G. Broenniman, James B. Frakes, Nicolas Gikakis, Angela Rossetti and Chetan S. Shah, MD.

Stockholders ratified Haskell & White LLP as the independent registered public accounting firm for the fiscal year ending March 31, 2027, with 396,657 votes for, 2,743 against and 352 abstentions. On an advisory basis, they approved the compensation of the named executive officers with 205,507 votes for and 6,027 against.

The share authorization

The increase in authorized common stock, from 20,000,000 to 200,000,000 shares, received 370,879 votes for, 27,208 against and 1,667 abstentions. Stockholders also approved authorizing 20,000,000 shares of preferred stock, with the board to set the terms of each series, by 204,121 votes for, 9,528 against and 1,556 abstentions.

The stockholders also approved a 100,000-share increase to the 2020 Equity Incentive Plan, with 204,289 votes for and 8,407 against. The board had approved that amendment on July 10, 2026, subject to stockholder approval.

For Nasdaq Listing Rule 5635(d) purposes, stockholders approved three issuance authorizations. The first covers up to 1,126,602 shares issuable on exercise of common warrants and placement agent warrants from the company's July 2026 offering, with 208,774 votes for. The second covers future private financing transactions, with 206,858 votes for. The third covers warrant exercise inducement transactions, with 206,058 votes for. The chairman elected not to adjourn the meeting, although the adjournment proposal received 263,567 votes for.

Financial position

The 10-K for the fiscal year ended March 31, 2026, filed June 10, 2026, reports research and development expense of $1.9 million for that year, against $2.2 million for fiscal 2025. The net loss was $7.2 million, against $13.4 million, and cash from operations was negative $7.0 million, against negative $7.6 million. The 10-Q filed August 13, 2026 reports year-end cash and cash equivalents of $5.0 million at March 31, 2026, and $4.9 million at June 30, 2026.

The cash figures sit beside a tenfold increase in authorized common stock. The company had $4.9 million at June 30, 2026 and used $7.0 million in operations in the year to March 31, 2026. Only 711,136 shares were entitled to vote, and the filing gives no stated use for the added authorized shares. Stockholders also approved issuances tied to up to 1,126,602 warrant shares from the July 2026 offering, to future private financings and to warrant exercise inducements. Such authorizations let the company sell or issue shares without a further vote, which dilutes existing holders. The filing does not give prices or amounts for those future deals.

The 8-K says the proxy statement filed with the SEC on August 21, 2026 contains more information on the Plan Amendment and the terms of the amended plan.

The business

Aethlon is developing the Hemopurifier, a clinical-stage investigational immunotherapeutic device that binds and removes enveloped viruses and extracellular vesicles from biological fluids. The 10-K says the device has been evaluated in human studies involving 173 treatment sessions in 44 patients with viral infections or cancer. The FDA has granted it Breakthrough Device designation for two indications, a designation that is not marketing authorization.

The oncology work centers on a safety, feasibility and dose-finding trial in Australia designed to enroll approximately 9 to 18 participants. Three clinical sites are open for enrollment, and the company says no serious adverse events or dose-limiting toxicities related to the device had been reported. The company decided not to proceed with a similar trial in India in order to focus on the Australian study. The trial is small and early, and the sources report no efficacy results for the Hemopurifier in cancer; the company's statement that no related serious adverse events had been reported comes from the company, not from a published analysis.
