AEON Biopharma, Inc. (NYSE American: AEON) said on August 3, 2026 that it had received written notice from NYSE American LLC confirming that it regained compliance with the exchange's continued listing standards relating to stockholders' equity. A letter from NYSE Regulation confirmed that AEON had resolved the previously identified deficiencies under Sections 1003(a)(i) and 1003(a)(ii) of the NYSE American Company Guide. The company expects the below-compliance indicator, shown as .BC, to be removed from the trading symbol for its Class A common stock, and expects to be removed from the exchange's list of noncompliant issuers.
What resolved the deficiency
AEON said it regained compliance after completing its underwritten public offering. The offering closed on July 15, 2026, with 17,851,599 shares of Common Stock and pre-funded warrants to purchase 24,837,008 shares of Common Stock. Each share or pre-funded warrant came with a two-year milestone warrant and a five-year milestone warrant, each to purchase one share of Common Stock. On July 23, 2026, the company sold an additional 4,696,102 shares after a partial exercise of the underwriters' over-allotment option.
The company received aggregate net proceeds of approximately $13.6 million, after underwriting discounts, commissions and estimated offering expenses. It could receive up to an additional $34.0 million in gross proceeds if the milestone warrants are exercised for cash in full. AEON believes it now has stockholders' equity above the $4.0 million minimum under Section 1003(a)(ii) of the Company Guide. The release does not name the underwriters.
A fix that rests on one offering
Because the offering closed after the end of the second fiscal quarter, the unaudited balance sheet as of June 30, 2026, to be included in the Quarterly Report on Form 10-Q, will reflect a stockholders' deficit. It will not give effect to the net proceeds of the offering, which will be reflected as a subsequent event. The company says it will remain subject to NYSE American's standard listing monitoring procedures and remains committed to maintaining strong financial discipline and governance. In plain terms, the listing was repaired by selling stock, not by the business earning money: the company lost $39.2 million in 2025, its balance sheet showed a deficit before the offering, and the compliance regained is tied to equity staying above the $4.0 million minimum. The offering also added a large number of shares and warrants, so existing holders were diluted, and each unit carried two milestone warrants that could add more shares.
