Aditxt, Inc. (Nasdaq: ADTX) said in a press release dated June 9, 2026, which it filed as an exhibit to a Form 8-K on June 10, 2026, that it signed a definitive business combination agreement for Ignite Proteomics, LLC. Ignite is a functional proteomics company and a 100%-owned subsidiary of Aditxt. The release values Ignite at an implied equity value of approximately $150 million, subject to the terms of the agreement.

The release says Ignite is expected to separate from Aditxt and become an independent publicly traded company. That will happen through a newly formed public holding company, which the release calls Pubco. After closing, a special purpose acquisition company, whose name the release does not disclose, and Ignite are expected to become wholly owned subsidiaries of Pubco. Aditxt is expected to continue as a separate Nasdaq-listed public company, subject to continued compliance with Nasdaq listing requirements.

The agreement

The release says Ignite equity holders are expected to receive newly issued shares of Pubco common stock based on a $10.00 per share reference price. Pubco's common stock and public warrants are expected to be listed on the New York Stock Exchange, subject to approval of the listing application and to the satisfaction of customary closing conditions.

The release lists the closing conditions. They include approval by the shareholders of the acquisition company, approval by the Ignite equity holders, and effectiveness of a registration statement to be filed with the Securities and Exchange Commission. Other conditions are NYSE approval for listing, regulatory and third-party consents, and minimum cash or financing conditions. The boards of the applicable parties have approved the transaction.

Why the company says it is doing the deal

The release says Aditxt acquired Ignite as part of its strategy to identify, acquire and advance differentiated health innovation platforms. It says the business combination is intended to give Ignite a dedicated public company platform, more visibility and access to growth capital, and to highlight the value of Ignite within Aditxt's portfolio.

Jeff Busch, who is Interim Chief Executive Officer of Aditxt and Chief Executive Officer of Ignite Proteomics, is quoted in the release. He describes the transaction as a way to unlock value in Ignite, while Aditxt continues to focus on its broader health innovation strategy.

Ignite Proteomics

The release says Ignite's growth plans include expanding clinical adoption, scaling commercial operations, generating additional clinical evidence and pursuing collaborations with academic institutions, oncology networks, payors and biopharmaceutical partners. It says net proceeds from the transaction, including cash left in the acquisition company's trust account after redemptions, are expected to support those plans and general corporate purposes.

Advisors and what is unproven

The release names Ladenburg Thalmann & Co. Inc. as financial advisor to the newly formed public holding company and to Ignite Proteomics, LLC. It names Meister Seelig & Schuster PLLC as legal counsel. The release does not name counsel for the acquisition company.

The deal is far from done. Pubco still has to file a Form S-4 registration statement, and closing needs shareholder approvals, NYSE listing approval and minimum cash or financing conditions. The $150 million figure is an implied value set in the agreement, not a price paid, and the release gives no revenue, loss or cash figures for Ignite, which it describes as focused commercially on breast cancer. How much cash is left in the acquisition company's trust after redemptions is also unknown.
