Adial Pharmaceuticals, Inc. (Nasdaq: ADIL) said in a Form 8-K, dated August 10, 2026 and signed on August 13, 2026, that it expects a change of senior management and board membership after its 2026 Annual Meeting of Stockholders. The company anticipates that the employment of Cary Claiborne, its president and chief executive officer, will end promptly after the meeting if certain proposals are approved by stockholders. It also expects that Matthew Davidson, the company's chief development officer and a member of its board, will be appointed as president and chief executive officer.

The expected leadership changes

The company also anticipates that the employment of Vinay Shah, its chief financial officer, will end promptly after the annual meeting if stockholder approval is obtained, and that a new chief financial officer will be appointed. Claiborne and Shah would receive severance payments and benefits under their amended and restated employment agreements, subject to each of them signing a release.

The filing says the board has not made final decisions about the changes it expects to make to its composition and size. The company anticipates that some legacy board members will resign once stockholders give their approval, and that the rest will resign when new directors with relevant experience have replaced them. As of the filing date, the board had not made definitive determinations on those changes.

The annual meeting and deadlines

The board set the 2026 annual meeting for Thursday, September 17, 2026. Details will appear in a proxy statement that will be filed with the Securities and Exchange Commission and sent to stockholders at a later date. Because the meeting date falls more than 30 days after the anniversary of the 2025 annual meeting, earlier deadlines for stockholder proposals no longer apply, and the company is giving notice of revised deadlines under Rule 14a-5(f).

Stockholder proposals for the proxy statement under Rule 14a-8, and any proposals or director nominations made outside that rule, must reach the company by August 23, 2026. The filing says the company considers that a reasonable time before it prints and mails its definitive proxy statement, and that the usual 120-to-90-day notice window does not apply because the meeting falls more than 30 days from the anniversary of last year's meeting.

What Adial does

Adial describes itself as a clinical-stage biopharmaceutical company focused on therapeutics for addiction and related disorders. Its investigational drug, AD04, is being developed as a treatment for alcohol use disorder. The company says AD04 was investigated in the Phase 3 ONWARD trial and that it is now focused on completing the clinical program in specified genetic subgroups, identified with its companion diagnostic genetic test.

The company has also reported a collaboration framework agreement, signed March 3, 2026, with Molteni Farmaceutici for a proposed exclusive partnership covering AD04 in Europe. That framework is not yet a definitive agreement, and Molteni has no obligation to sign one.

Financial position

For 2025, Adial reported research and development expense of $2.6 million, compared with $3.2 million for 2024. The net loss was $8.0 million for 2025 and $13.2 million for 2024. Cash from operations was negative $6.5 million for 2025 and negative $6.9 million for 2024. Year-end cash and cash equivalents were $5.9 million at December 31, 2025 and $3.8 million at December 31, 2024.

What the filing leaves out

The filing does not explain why the chief executive and chief financial officer are leaving, how large their severance is, or which proposals trigger the change. It says the board has made no definitive decisions on its own composition. The company is replacing most of its leadership while carrying a net loss of $8.0 million for 2025 and a 10-K warning that cash would not last twelve months. AD04 has no approval, and the Molteni framework is not a definitive agreement.
