Adial Pharmaceuticals, Inc. (Nasdaq: ADIL) reported in a Form 8-K dated October 15, 2026 that it reconvened its 2026 Annual Meeting of Stockholders with respect to Proposals 3, 4, 5 and 6 and then adjourned the meeting again. The polls remain open for those four proposals. The adjourned meeting will reconvene on October 26, 2026 at 8:30 a.m. Eastern Time at the company's offices in Charlottesville, Virginia.
How the meeting has been adjourned
The company convened the meeting on September 17, 2026 and moved forward only with Proposals 1, 2, 7, 8, 9, 10, 11 and 12. It adjourned the meeting in part, for Proposals 3, 4, 5 and 6, to give itself more time to obtain Nasdaq's approval of its Initial Listing Application. That application was submitted in connection with some of the proposals stockholders were asked to approve.
On October 1, 2026, the company reconvened the meeting for those four proposals and adjourned it again until October 15, 2026. On October 15, it reconvened once more and adjourned again, because it still had not received Nasdaq's approval of the listing application. The definitive proxy statement filed August 24, 2026 describes each proposal, and the filing says the proposals have not changed.
The record date remains August 17, 2026, and proxies already submitted need no action unless a holder wishes to change a vote.
What Adial does
Adial describes itself as a clinical-stage biopharmaceutical company focused on therapeutics for addiction and related disorders. Its investigational drug, AD04, is being developed as a treatment for alcohol use disorder. AD04 was studied in the Phase 3 ONWARD trial. Based on subgroup data from that trial, the company says it is now focused on completing the clinical development program for AD04 in specified genetic subgroups, identified with its companion diagnostic genetic test, to meet regulatory requirements primarily in the United States and secondarily in Europe and the United Kingdom. The company has no products approved for sale and has not generated significant revenue since its inception.
Adial also reported a collaboration framework agreement with Molteni Farmaceutici, signed on March 3, 2026, for a proposed exclusive partnership covering AD04 in Europe. The framework is subject to a final definitive agreement, and Molteni has no obligation to enter into one. Adial estimated the total potential value from royalties and milestones at nearly $60 million, assuming AD04 progresses through clinical development and reaches the European market.
Financial position
In its annual report for 2025, Adial reported research and development expense of $2.6 million, compared with $3.2 million in 2024. The net loss was $8.0 million for 2025 and $13.2 million for 2024. Cash from operations was negative $6.5 million in 2025 and negative $6.9 million in 2024. Year-end cash and cash equivalents were $5.9 million at the end of 2025 and $3.8 million at the end of 2024. The data summary also reports cash and cash equivalents of $28.7 million at June 30, 2026, from an amended quarterly report.
The annual report filed on March 5, 2026 said cash was not expected to fund operations for the next twelve months. It said Adial may be unable to raise funds on favorable terms or at all.
What the filing leaves unresolved
The vote on Proposals 3, 4, 5 and 6 has now been put off three times, and the 8-K gives no date for Nasdaq's decision on the listing application. The filing does not say what the four proposals cover. The annual report put the accumulated deficit at approximately $90.0 million at the end of 2025. The $28.7 million cash figure at June 30, 2026 is far above the $5.9 million at year-end 2025, and the 8-K does not explain the difference. AD04 has no approval and its development rests on subgroup analysis of a Phase 3 trial, with a new adaptive Phase 3 design still to be run. The Molteni framework binds nobody to sign, and the nearly $60 million of potential value is the company's own estimate.
