Polar Asset Management Partners is buying 5,365,853 shares at a premium of approximately 14% to the closing price on the agreement date. Closing was expected on or about July 28, 2025.
The one-for-one exchange also means Omeros no longer has to make a $20.0 million term loan prepayment. Separately, it agreed to convert $10 million of the old notes into common stock.

Omeros retains its MASP-3 small-molecule program. Its clinical pipeline also includes OMS1029, a long-acting lectin pathway antibody, and an OMS527 PDE7 program in cocaine use disorder that is pending initiation of a Phase 1b trial funded by the National Institute on Drug Abuse. Preclinical programs include MASP-2 and MASP-3 small molecules and OncotoX-AML for acute myeloid leukemia.
