The company's board does not accept that the resignation was for good reason. The notice seeks about $1.29 million in cash severance under a disputed agreement.
Nasdaq flagged a missing June-quarter 10-Q on Aug. 21. Days later the company announced a reverse split that cut its shares outstanding to about 1.38 million to fix a separate bid-price shortfall.
The company paused its ExoCR and BioX products on August 7, 2026 while it reviews documentation, sourcing and regulatory status. It has not decided to discontinue them.
Two executives gave notice on July 13, 2026 and asserted about $2.85 million in aggregate cash severance. The board does not accept the claims, and it named Katharyn Field chief executive officer.
BioRestorative Therapies can borrow up to $1,000,000 from Bowery Group LLC at 12%, and the same agreement brought three director resignations and three new directors designated by the lender. Its cash use in 2025 was $10.8 million.
The agreement, dated May 27, 2026, sets a three-year initial term and a bonus of up to 50% of salary. Severance equals two times salary plus bonus if he is terminated without cause or resigns for good reason.
BioRestorative Therapies, Inc. develops therapeutic products using cell and tissue protocols, primarily involving adult stem cells. Its lead program is the Disc/Spine Program, whose initial investigational product, BRTX-100, is made from a patient's own cultured mesenchymal stem cells collected from bone marrow and injected into a damaged disc for the non-surgical treatment of painful lumbosacral disc disorders. BRTX-100 is in a Phase 2 clinical trial for chronic lower back pain from degenerative disc disease. The FDA cleared an IND for the product for chronic cervical discogenic pain, and granted Fast Track designation for chronic lumbar disc disease. The ThermoStem Program is a preclinical metabolic program using brown adipose derived stem cells and their exosomes to target obesity, type 2 diabetes and related disorders. The company also operates a commercial biocosmeceutical business whose cell-based secretome serum is engineered to reduce the appearance of fine lines and wrinkles.
