Zeo ScientifiX, Inc. (OTC: [ZEOX](https://aibio.space/companies/zeo-scientifix/)) filed a notification of late filing on Form 12b-25 on September 28, 2026. It says it cannot complete and file its transition report on Form 10-K for the eight months ended June 30, 2026 by that date without undue hardship and expense. The reason given is that the compilation, dissemination and review of the information the report requires could not be finished in time.

## What the notice says

The company checks the box stating that the report will be filed within the fifteen-day period after the due date, and says it anticipates filing within the grace period under Securities Exchange Act Rule 12b-25. The notice does not give a date for that filing.

The company answers yes to whether all other periodic reports required in the preceding 12 months have been filed. It answers no to whether it anticipates a significant change in results of operations from the corresponding period for the last fiscal year. The contact named on the notice is Ian Bothwell, who also signed it as chief executive officer and chief financial officer. The company's principal executive office is in Davie, Florida.

## Why the reporting period matters

The transition report covers eight months ending June 30, 2026. It sits between the company's last full annual report, which covered the fiscal year ended October 31, 2025, and whatever comes next. A transition report is the document that bridges a change in the reporting year, so until it is filed the eight-month period has no report behind it.

## The last annual report

The 10-K for the fiscal year ended October 31, 2025 reports revenue of $5,199,000, up from $4,620,000 a year earlier. The company attributes the increase of $579,000, or 12.5%, to its PPX service platform. The financial data attached to that filing record a net loss of $5.5 million for fiscal 2025, against $4.7 million for fiscal 2024. Cash used in operations was $718,000 in fiscal 2025, against $1.4 million a year earlier. Research and development expense was $100,000 in fiscal 2025, against $164,000 in fiscal 2024.

Year-end cash and cash equivalents were $221,000 at October 31, 2025, down from $657,000 a year before. A later quarterly report puts cash at $1.8 million at April 30, 2026. The figures do not say how that increase was funded, and the notice does not address it.

## A thin market for the stock

The 10-K says the company's common stock trades on the OTCQB tier of the over-the-counter market under the symbol ZEOX. It describes the trading market as limited and sporadic, says the company can give no assurance that its shares will keep trading over the counter, and notes that penny stock rules apply to trades in shares priced below $5.00.

The same report refers, under its 2025 developments, to litigation between the company and Exotropin and between the company and BioXtek. The notice does not mention either matter.

## What the notice leaves out

The notice gives no date for the transition report and gives only a general reason for the delay. It does not say what the review has found so far.

The company says it expects to use the grace period under Rule 12b-25. The notice gives no figure for results, cash or any change in them.
