Xenon Pharmaceuticals priced a public offering of common stock on March 10 at $57.00 a share, raising gross proceeds of about [$650 million](https://www.sec.gov/Archives/edgar/data/1582313/000119312526102517/d83218d424b5.htm). It came one day after the company reported positive phase 3 results for azetukalner in focal seizures.

The offering was larger than first planned. A preliminary prospectus dated March 9 had described [$500 million of common shares](https://www.sec.gov/Archives/edgar/data/1582313/000119312526098764/d83218d424b5.htm), with a 30-day option for the underwriters to buy $75 million more.

## The details

The final prospectus supplement covers [10,526,317 common shares](https://www.sec.gov/Archives/edgar/data/1582313/000119312526102517/d83218d424b5.htm) at $57.00. Some investors received pre-funded warrants for 877,194 shares instead, at $56.9999 each. The underwriters had a 30-day option to buy up to 1,710,526 more shares, and delivery was expected on or about March 12.

J.P. Morgan, Jefferies, TD Securities, Stifel, RBC Capital Markets and William Blair were joint book-running managers, according to the [preliminary prospectus](https://www.sec.gov/Archives/edgar/data/1582313/000119312526098764/d83218d424b5.htm). Xenon said it would use the proceeds, together with existing cash, to advance clinical programs, fund pre-commercial and commercial activities, and support discovery work and general corporate needs.

The price compares with a last reported sale price of [$41.94 on March 6](https://www.sec.gov/Archives/edgar/data/1582313/000119312526098764/d83218d424b5.htm), the last trading day before the X-TOLE2 data were announced.

Xenon's first-quarter report shows how much came in. During the quarter the company received [$707.6 million in net proceeds from the public offering and $130.0 million from its at-the-market program](https://investor.xenon-pharma.com/node/14351). Cash, cash equivalents and marketable securities were $1,339.6 million at March 31, against $586.0 million at the end of 2025. The company said that is enough to fund operations into 2029.

## Context

The financing followed the X-TOLE2 result, in which the 25 mg dose cut median monthly seizures by [53.2% against 10.4% on placebo](https://www.sec.gov/Archives/edgar/data/1582313/000119312526097577/d107087dex991.htm). Xenon expected to file its NDA in the third quarter, and later [said on September 17](https://finviz.com/news/393312/xenon-announces-azetukalner-nda-submission-to-fda-for-focal-seizures-and-provides-update-on-psychiatry-clinical-program) that it had done so.

Spending has been rising. Research and development expense was $88.5 million in the first quarter, up from $61.2 million a year earlier, and the company had a net loss of $102.3 million, per the [Q1 report](https://investor.xenon-pharma.com/node/14351). By June 30 cash had fallen to $1,245.1 million, and the second-quarter net loss was [$110.7 million](https://investor.xenon-pharma.com/node/14566/pdf).

Xenon has no product revenue. It [recorded $7.5 million of revenue in the first quarter of 2025](https://investor.xenon-pharma.com/node/14351) and none in 2026.

## What it means for investors

The raise changes Xenon's risk profile. With $586 million in cash and a [first-quarter loss of $102.3 million](https://investor.xenon-pharma.com/node/14351), Xenon would have had less than two years of runway. A company with $1.3 billion in cash has runway through approval and the first stretch of launch.

The cost is dilution. At $57 a share the offering added more than 10 million shares, and weighted average shares rose from about [78.7 million in the first quarter of 2025](https://investor.xenon-pharma.com/node/14351) to [about 99.6 million in the second quarter of 2026](https://investor.xenon-pharma.com/node/14566/pdf). Pre-funded warrants add to that.

The timing carried some risk too. Selling stock right after a strong readout gets a better price, but it also means that new holders came in on good news. When the company later [paused depression enrollment](https://fiercebiotech.com/biotech/xenon-pauses-phase-3-depression-trials-after-psychosis-events), the shares fell about 25% in pre-market trading on Sept. 18 to $42.84, [according to Parameter](https://parameter.io/xenon-pharmaceuticals-xene-stock-plummets-25-after-psychiatric-trial-halt/), which left them below the $57.00 offering price.

## What to watch

Xenon says its [cash lasts into 2029](https://investor.xenon-pharma.com/node/14566/pdf). The company's next dated events are X-NOVA2 topline data, now expected in the first quarter of 2027, and completion of enrollment in X-TOLE3 outside Japan in 2026.
