## The pricing

Xenetic Biosciences, Inc. said on October 10, 2025 that it had priced an underwritten offering of 735,000 shares of common stock at $6.12 per share. The gross proceeds are approximately $4.5 million, before underwriting discounts, commissions and other offering expenses. The final prospectus supplement, filed October 14, 2025, shows a total offering price of $4,498,200.00. Underwriting discounts and commissions are $269,892.00, and proceeds to Xenetic before expenses are $4,228,308.00. The company estimates other offering expenses at approximately $0.4 million.

All 735,000 shares are being sold by the company under a Form S-3 shelf registration statement that the SEC declared effective on November 1, 2024. The shares were expected to close on or about October 14, 2025.

The price is below the recent market. The supplement reports a last sale price on Nasdaq of $10.36 on October 8, 2025, and $9.46 on October 9, 2025.

## Who is involved

Canaccord Genuity LLC is the sole bookrunner under an underwriting agreement dated October 10, 2025. Xenetic agreed to reimburse the underwriter for some of its expenses, up to $75,000 in total.

The filing names Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., of New York, as counsel to the underwriters. Westward Law, LLC, of Las Vegas, passed on the validity of the shares for Xenetic. Marcum LLP audited the financial statements incorporated by reference from the company's Form 10-K, and Empire Stock Transfer, Inc. is the transfer agent. The filing names no placement agent or other underwriter.

Officers and directors will sign lock-up agreements restricting their share transfers for 60 days after the prospectus date, subject to certain exceptions.

## Dilution and the shelf limit

The supplement puts the aggregate market value of common stock held by non-affiliates at $13,506,290.56, based on 1,542,139 shares outstanding on October 9, 2025, of which 1,303,696 were held by non-affiliates. Under General Instruction I.B.6 of Form S-3, the company cannot sell securities in a primary offering worth more than one-third of its public float in any 12-month period while that float stays below $75,000,000.

The 735,000 new shares compare with the 1,542,139 shares outstanding on the date the supplement cites. Other claims on the stock are also large. The supplement lists 1,804,394 shares of outstanding Series B Preferred Stock, each convertible into 0.03272 common shares. It also lists 834 shares issuable on exercise of outstanding warrants at an average weighted exercise price of $29.09, far above the $6.12 offering price. The supplement warns that exercising options and warrants will dilute investors further.

## The business and the review

Xenetic describes itself as a biopharmaceutical company working on immune-oncology technologies for hard-to-treat cancers. Its DNase technology targets neutrophil extracellular traps, which the company says are involved in cancer growth and spread, with the aim of improving existing treatments, including immunotherapies. The company is taking its systemic DNase program toward the clinic as an adjunctive therapy for pancreatic carcinoma and locally advanced or metastatic solid tumors. The offering documents do not report clinical results for that program.

The supplement also discloses a strategic review, run with outside financial and legal advisors. The company is weighing a sale of all or part of the company or its assets, or a business combination, including a reverse merger. An independent board committee has held preliminary talks with third parties. The company says there is no deadline for the review and that no proposal may be made or accepted. Any deal would need stockholder and Nasdaq approval. Its risk list also includes the need to raise more working capital and to continue as a going concern.

The supplement gives no current cash balance. Its financial statements are incorporated by reference from the 10-K rather than restated.

## What comes next

Proceeds are for working capital and other general corporate purposes, and, in the supplement's summary, for advancing the DNase technology. Management will have broad discretion over the money, and the supplement warns it may not be used effectively. The shares trade on the Nasdaq Capital Market under the symbol XBIO.
