Windtree Therapeutics, Inc. has told the Securities and Exchange Commission that it cannot file its quarterly report for the quarter ended June 30, 2025 on time.

The company filed a notification of late filing on Form 12b-25, dated August 14, 2025. This form lets a company claim a short extension when it cannot complete a periodic report by the due date without unreasonable effort or expense. For a quarterly report on Form 10-Q, the grace period is five calendar days.

Windtree said additional time is required to finalize its financial statements and the related disclosures that must be included in the report. It expects to file the Form 10-Q within five calendar days following the prescribed due date.

In the form, Windtree said it does not expect a significant change in results of operations from the same period of the last fiscal year to be reflected in the report. It also said it has filed all other periodic reports required during the preceding 12 months.
