Wave Life Sciences Ltd., the Singapore parent of the Wave group and listed on the Nasdaq Global Market as WVE, said in a release dated April 15, 2026 that its board had unanimously approved a plan to move the parent company from Singapore to the United States. The company calls the plan the Redomiciliation. Under it, the existing ordinary shares would be exchanged one for one for common stock of a newly formed Delaware parent, Wave Life Sciences, Inc., which would trade on the Nasdaq Global Market under the same symbol. The release says the company expects the change to take effect in mid-2026, and that it is expected to be tax-free to U.S. shareholders.

## The reasons the company gives

The release says most of the group's operations, its corporate headquarters, the majority of its operating assets, including its manufacturing and research and development facilities, and most of its employees, management and board are already in the United States. A Delaware parent would streamline the group's organizational, statutory and regulatory structure, the company says, and reduce dual financial reporting, regulatory, legal and other compliance costs. Chief Financial Officer Kyle Moran said that "the United States is the best place for Wave to enhance shareholder value."

The release gives no dollar figure for the savings. Its forward-looking statements list unanticipated costs in connection with the transaction, and "delays, challenges and expenses" that could come with it.

## What must happen first

The Redomiciliation is subject to approval by Wave's shareholders and by the Singapore High Court. The company said it was filing preliminary proxy materials with the SEC the same day, in preparation for a shareholder meeting, and that it expects to file a definitive proxy statement later. The release does not give a date for the meeting or for the court step. It also says the company will remain subject to SEC reporting requirements and the applicable rules of Nasdaq, and that it will keep reporting its consolidated results in U.S. dollars under U.S. generally accepted accounting principles.

## The cash the company is spending

The annual report for 2025, filed February 26, 2026, shows research and development expense of $182.8 million for 2025, up from $159.7 million in 2024. The net loss was $204.4 million for 2025, against $97.0 million for 2024. Cash used in operations was $187.5 million in 2025, against $151.0 million the year before. Cash and cash equivalents were $302.1 million at the end of 2024 and $602.1 million at the end of 2025, with no short-term investments at year-end 2025.

The same report lists the obesity candidate WVE-007, a GalNAc-conjugated siRNA targeting INHBE, the alpha-1 antitrypsin candidate WVE-006, and the PNPLA3 I148M liver candidate WVE-008. Its clinical-stage portfolio also includes WVE-N531 for Duchenne muscular dystrophy and WVE-003 for Huntington's disease. The release does not compare the cost of the move with the company's spending on those programs.

## What the release leaves out

The release is silent on the cost of the move and on how long the shareholder and court steps may take. The savings the company describes are not quantified, so the case for the move rests on the company's own description of administrative efficiencies. The release does not say whether the company's losses will change at all, and the 2025 figures above show that the net loss and cash used in operations both rose sharply before the move was proposed, even as year-end cash doubled.
