VYNE Therapeutics Inc., now Yarrow Bioscience, Inc. (Nasdaq: [YARW](https://aibio.space/companies/yarrow-bioscience/)), received a notice from The Nasdaq Stock Market on September 11, 2025. The company reported it in an 8-K. The notice says the company is not in compliance with the requirement to keep a minimum closing bid price of $1.00 per share under Nasdaq Listing Rule 5550(a)(2). The reason given is that the common stock closed below that level for 30 consecutive business days.

The notice is a warning, not a delisting. It states that it does not affect the listing of the common stock on the Nasdaq Capital Market at this time, and that the shares will keep trading there. It does, however, start a clock.

## The deadline and the test

Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days, until March 10, 2026, to regain compliance. To do so, the closing bid price must be at or above $1.00 for a minimum of ten consecutive trading days before that date. Nasdaq would then provide written notice that the company has achieved compliance. The test is a run of closes, not a single good day, and the ten trading days must be consecutive.

The company says it "is considering all available options to regain compliance with the listing rule." The 8-K adds that there can be no assurance it will regain compliance, or that it will meet the other Nasdaq listing criteria. The filing does not describe any of those options.

## A second period, with conditions

If the company does not regain compliance by March 10, 2026, a second 180-day period may be available. To qualify, it must give Nasdaq written notice that it intends to regain compliance with the bid price requirement during that period, by effecting a reverse stock split if necessary. It must also meet the $1 million market value of publicly held shares requirement and the other initial listing standards of the Nasdaq Capital Market, except the bid price rule.

If it does not qualify, or fails again, Nasdaq will notify the company that its stock is subject to delisting. The reverse split is written into the notice as a conditional step, and the 8-K does not say whether one is planned.

## What the company has said before

The company's latest annual report on Form 10-K lists among its forward-looking risks its needs for additional financing, its ability to obtain additional capital on acceptable terms and its ability to identify and execute strategic transactions. It says the business is substantially dependent on the successful development of its bromodomain and extra-terminal domain (BET) inhibitor candidates, and it lists risks arising from the completed divestiture of its commercial business.

According to the 8-K cover page, the company is a Delaware corporation with its principal executive office in Bridgewater, New Jersey.

## What the notice leaves out

The notice does not give the company's cash position, a timetable for any reverse split, or any statement about the company's plans beyond considering its options. The 8-K is limited to the Item 3.01 disclosure of the notice, so the stock price, the company's finances and its future strategy are not described in it. The 8-K also does not say when the 30 consecutive business days began, so the period of sub-$1.00 trading cannot be measured from the filing alone.

For shareholders, the timetable is now fixed: a deadline of March 10, 2026, a ten-day test above $1.00, and a reverse split held in reserve as the price of a second chance.
