# VYNE Therapeutics (now Yarrow Bioscience) gets Nasdaq bid price extension to Sept. 7, 2026

Tickers [YARW](https://aibio.space/companies/yarrow-bioscience/)

Nasdaq granted VYNE an extra 180 calendar days, until September 7, 2026, to meet the $1.00 minimum bid price. Its 2025 net loss was $26,483 thousand, and the company says its cash is enough only through the closing of its planned merger with Yarrow Biosciences.

VYNE Therapeutics Inc. (now Yarrow Bioscience, Inc.) received a letter from Nasdaq on March 11, 2026 granting it an additional 180 calendar days, until September 7, 2026, to meet the minimum bid price requirement. The company disclosed the extension in a [Form 8-K filed March 11, 2026](https://www.sec.gov/Archives/edgar/data/1566044/000110465926026439/tm268461d1_8k.htm) under Item 3.01. The company says its common stock will keep trading on the Nasdaq Capital Market under the symbol VYNE.

## How the deficiency began

As the company reported in an 8-K filed September 12, 2025, Nasdaq notified it that its closing bid price had been below $1.00 for 30 consecutive business days, a breach of Nasdaq Listing Rule 5550(a)(2). The company had 180 calendar days, until March 10, 2026, to regain compliance, and it did not.

Nasdaq granted the extension because the company meets the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Capital Market except the bid price, and because it gave written notice that it intends to cure the deficiency in the second period by a reverse stock split, if necessary. If the stock closes at or above $1.00 for at least 10 consecutive business days before September 7, 2026, Nasdaq will confirm compliance. If not, Nasdaq will notify the company that its stock will be delisted, and the company may appeal to a Hearings Panel. The company says it may consider options including a reverse stock split, and the 8-K gives no decision.

## The merger that comes first

The company's 2025 annual report describes a strategic review begun in August 2025, which evaluated its pipeline, financing and strategic alternatives. Following that review, VYNE signed an Agreement and Plan of Merger and Reorganization dated December 17, 2025, amended on January 30, 2026, with Yarrow Biosciences, Inc. The merger would convert Yarrow stock into VYNE common stock or pre-funded warrants at an exchange ratio set in the agreement.

The merger requires approval by VYNE stockholders and by Yarrow stockholders. The annual report says the transaction would also involve a Yarrow pre-closing financing that converts into VYNE stock at closing. It also warns that if the merger is not completed, the stock price may decline significantly. Some of the directors and officers of both companies have interests in the transaction that differ from those of other holders.

## Losses and cash

The annual report shows a net loss of $26,483 thousand for 2025, compared with $39,834 thousand for 2024. The company says it cut costs to extend its cash runway during the strategic review. It also says that, as of the report date, its existing cash, cash equivalents and marketable securities are sufficient to fund operating and capital expenditure requirements through the closing of the merger.

That is a runway tied to the merger closing rather than to a fixed date. If the merger is delayed or fails, the report does not say how long the company's cash would last.

## The product side

The report says the company evaluated opportunities for repibresib and VYN202 during the strategic review. In April 2025 the FDA verbally placed a clinical hold on the Phase 1b trial of VYN202 after testicular toxicity was observed in dogs in a non-clinical study. In June 2025 the FDA lifted the hold for two doses in female subjects only, and said data from a 12-week dog toxicology study would be needed before men could be dosed again. In July 2025 the company decided to unblind data from the seven subjects enrolled. The 8-K contains no pipeline update.

## What comes next

The next deadline is September 7, 2026. By that date the stock must close at or above $1.00 for at least 10 consecutive business days, or Nasdaq will notify the company that its stock will be delisted. Chief Legal Officer and General Counsel Mutya Harsch signed the 8-K.
