Voyager Therapeutics, Inc., a biotechnology company in Lexington, Massachusetts, listed on the Nasdaq Global Select Market as VYGR, reported in a Form 8-K dated June 9, 2026 that its stockholders approved an amendment to its Fifth Amended and Restated Certificate of Incorporation at the 2026 Annual Meeting of Stockholders held that day. The amendment raises the authorized capital stock from 125,000,000 shares to 245,000,000 shares. Within that total, the authorized common stock rises from 120,000,000 shares to 240,000,000 shares.

Voyager filed the Certificate of Amendment with the Delaware Secretary of State on June 9, 2026, and it took effect on filing. The company says the additional common stock has rights identical to its currently outstanding common stock. Authorized shares are the ceiling on what a company may issue under its charter, so the amendment gives the board room to issue shares without another charter change. The 8-K does not give a reason for the increase, and it does not say whether the company plans to issue shares.

## The vote

On the authorized share proposal, 43,464,491 votes were cast for, 2,593,426 against and 108,424 abstained.

At the same meeting, stockholders elected James A. Geraghty, Steven Hyman, M.D., and Alfred Sandrock, M.D., Ph.D., as Class II directors to serve until the 2029 Annual Meeting of Stockholders. Geraghty drew 23,336,364 votes for and 9,772,133 withheld, the largest withheld total of the three; Hyman drew 30,442,488 for and 2,666,009 withheld, and Sandrock 31,890,428 for and 1,218,069 withheld. They ratified Ernst & Young LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2026. They also approved, on a non-binding basis, an advisory proposal on the pay of the named executive officers.

## The business behind the listing

The company's annual report for 2025, filed on March 9, 2026, describes Voyager as a biotechnology company that uses human genetics to try to modify and ultimately cure neurological diseases. Its pipeline includes programs for Alzheimer's disease, Friedreich's ataxia and Parkinson's disease, along with other central nervous system diseases. Many of those programs use its TRACER capsid platform, a family of adeno-associated virus vectors designed to reach the brain after intravenous dosing.

The annual report describes several collaborations. Three programs carry options for Voyager to take part in future development, two of them with Neurocrine. It also has a collaboration with Transition Bio on small molecules for amyotrophic lateral sclerosis and frontotemporal dementia with TDP-43 pathology. It has partnered with Novartis on capsid-based gene therapies for spinal muscular atrophy and Huntington's disease.

## The money behind the request

The XBRL figures in the annual report show research and development expense of $134.7 million in 2025, against $127.4 million in 2024. The net loss was $119.7 million in 2025, against $65.0 million in 2024, and cash used in operations was $132.5 million in 2025. Cash used in operations was $15.3 million in 2024. Cash and cash equivalents were $71.4 million at the end of 2024 and $65.3 million at the end of 2025, while short-term investments fell from $195.3 million to $131.1 million.

Those figures show higher research spending and a larger net loss in 2025 than in 2024, which is the context in which a larger pool of authorized shares could matter. The 8-K does not connect the two. A board with more authorized shares can raise equity more quickly, but the 8-K says nothing about any plan to do so, and it does not name any financing.

## What the filing leaves out

The 8-K does not state the company's current cash balance, its runway or any plan for its pipeline spending. It gives no share count for the record date and no financing terms. It also does not say how many shares are outstanding today, so the filing alone shows how much room the new ceiling adds only as a charter number, not as planned issuance.
